According to the committee, "A lawyer should evaluate the reasonableness of a subscription fee arrangement based on each client's circumstances, including whether the client is likely to use the services offered." This key consideration will be pivotal in determining the ethical boundaries of these subscription-based legal services.

For instance, Wilson Sonsini Goodrich & Rosati PC, based in Palo Alto, California, unveiled a monthly fee package for its Neuron platform. Akin Gump Strauss Hauer & Feld LLP also jumped on the subscription-based bandwagon, launching the OverRuled data platform. This innovative service assists clients in tracking and navigating international sanctions, all for a monthly payment. Crucially, the committee made it clear that any fees charged to clients on a subscription basis should be considered advance payments for legal services. These funds cannot be classified as nonrefundable and must be held in trust until the conclusion of each billing period. The committee also emphasized that in the event of a client canceling a subscription service mid-billing cycle, the firm or attorney must issue a refund on a prorated basis.

The committee firmly stated, "A contract provision that forfeits the entire subscription fee at the beginning of the month violates the principle ... that a lawyer may not contract for a 'non-refundable fee' except when the fee is entirely paid to secure the lawyer's availability and compensate for the preclusion of other employment."
