DirecTV is buying Dish Network in $10 Billion Debt-Transfer Deal

In a landmark deal announced Monday, DirecTV has agreed to purchase Dish Networkâs video distribution business, Dish DBS, for a nominal $1, while assuming nearly $10 billion of Dishâs debt. The acquisition includes Dish TV and Sling TV in a megadeal aimed at strengthening DirecTVâs competitive position against dominant streaming platforms like Netflix and Amazon Prime.

As part of the agreement, DirecTV and Dish have launched an exchange offer for various notes, which will allow DirecTV to take on approximately $9.75 billion of Dish's debt. The companies hope the merger will enhance their ability to compete in a rapidly shifting video market, where streaming services are increasingly overtaking traditional pay-TV providers.
"The combination of DirecTV and Dish will benefit U.S. video consumers by creating a more robust competitive force in a video industry dominated by streaming services," DirecTV said in a statement. The company also highlighted the significant decline in satellite subscribers, noting that DirecTV and Dish have collectively lost 63% of their customer base since 2016 due to the rise of cord-cutting.

DirecTV's CEO Bill Morrow expressed optimism about the future of the merged companies, stating, "With greater scale, we expect a combined DirecTV and Dish will be better able to work with programmers to realize our vision for the future of TV, which is to aggregate, curate, and distribute content tailored to customers' interests." The merger is also expected to generate cost synergies of at least $1 billion annually by the third year after closing.
EchoStar's Debt Reduction and 5G Focus
EchoStar, Dish Networkâs parent company, is expected to reduce its total consolidated debt by approximately $11.7 billion as a result of the transaction. This reduction will also lessen EchoStarâs refinancing needs through 2026 by $6.7 billion. EchoStar CEO Hamid Akhavan said the company's improved financial profile will allow it to focus on expanding its nationwide 5G wireless network.
"This agreement is in the best interests of EchoStar's customers, shareholders, bondholders, employees, and partners," Akhavan said.
Legal Teams and Regulatory Hurdles
At least five major law firms are advising on the deal. DirecTV is represented by Ropes & Gray LLP, Crowell & Moring LLP, and HWG LLP, while EchoStar is being advised by White & Case LLP and Steptoe & Johnson PLLC. The transaction, unanimously approved by the boards of both companies, is slated to close in the fourth quarter of 2025, pending regulatory approvals and other customary conditions.
 TPG Capital to Buy AT&Tâs Stake in DirecTV
In a separate but related transaction, private equity group TPG Capital has agreed to acquire the remaining 70% stake in DirecTV from AT&T for an initial payment of $2 billion. The total deal could see AT&T receive as much as $7.6 billion through 2029. TPGâs purchase is not contingent on DirecTVâs acquisition of Dish, but the deals represent a broader strategy for DirecTVâs future.
