The U.S. Supreme Court declined on Monday to review a petition by Ascension Data & Analytics LLC seeking clarity on whether a court or arbitrator should decide the preclusive effect of a prior judgment. The petition stemmed from a dispute over a data extraction services contract between Ascension and Pairprep Inc., which led to an arbitral award favoring Pairprep.

Ascension argued that the Fifth Circuit erred in dismissing its bid to vacate the award and asked the justices to resolve a conflict between the federal policy favoring arbitration and the doctrine of res judicata, which bars courts from reexamining claims already decided.

Ascension Data Extraction Award Suit : Arbitration and Jurisdictional Conflict

The Fifth Circuit had previously ruled that Ascension’s attempt to overturn the arbitral award was an effort to relitigate issues resolved in arbitration. The appellate court held that this did not provide an independent basis for federal question jurisdiction. In its petition, Ascension contended that this interpretation undermined the balance between arbitration policy and judicial authority under res judicata principles.

"If this court grants certiorari review and finds that the district court should determine the preclusive effect of a judgment, it would belie the Fifth Circuit's rationale," Ascension stated in its filing.

The dispute arose from a contract under which Pairprep was to deliver data extraction services to Ascension. Ascension terminated the agreement after alleging Pairprep’s servers suffered a data breach and failed to provide reliable data.

Litigation and Arbitration Battles

Ascension initially pursued arbitration against Pairprep for damages tied to the breach. Pairprep countered by suing Ascension in Texas federal court, citing breach of contract and violations of the Defend Trade Secrets Act. However, these claims were referred to arbitration, where Pairprep asserted them as counterclaims.

Complicating matters, Pairprep accused Altada Technology Solutions, allegedly a joint enterprise with Ascension, of involvement in the arbitration claims. While Pairprep filed a related federal suit against Altada, the case was dismissed with prejudice following a settlement.

Ascension later argued that this dismissal resolved Pairprep’s arbitration claims. However, the arbitration tribunal disagreed and awarded damages to Pairprep. Ascension’s efforts to vacate this award, based on the earlier litigation outcome, were dismissed by the Fifth Circuit, and the state court confirmed the award.

Regulatory Fallout and Data Breach Implications

The Ascension-Pairprep contract became notable beyond the arbitration due to Federal Trade Commission scrutiny. In a separate case, the FTC alleged that Pairprep, operating as OpticsML, mishandled sensitive mortgage documents provided by Ascension, exposing customer data online for a year starting in January 2018.

Ascension settled the FTC’s complaint in 2021, agreeing to bolster its security protocols and improve vendor oversight. The settlement highlighted the risks of inadequate safeguards in the mortgage data sector.
