Supreme Court Upholds Ruling on RSBCO’s $579K Tax Penalty

The U.S. Supreme Court declined on Monday to take up RSBCO's appeal, leaving in place a Fifth Circuit ruling that overturned a jury’s decision to excuse the wealth management company from a $579,000 penalty imposed by the IRS for late filing of informational returns.

RSBCO, a subsidiary of Argent Financial Group, had sought to reinstate the jury’s ruling, which concluded that the company’s failure to file the returns on time was justified due to an employee’s mental health problems. The employee had been diagnosed with depression and other mental health issues, which RSBCO argued caused delays in filing. The Supreme Court’s decision leaves intact the Fifth Circuit’s June ruling, which vacated the jury’s verdict and called for a new trial.

In 2022, a jury sided with RSBCO after hearing testimony that the employee’s mental health struggles had contributed to the filing delay. The jury found that the employee’s incapacity was sufficient to excuse the company from penalties for the late returns. However, the Fifth Circuit disagreed with the jury’s conclusion. In its decision, the appeals court ruled that the trial court had failed to properly instruct the jury on what constitutes a valid excuse for late filings under the law. The court stated that an employee's mental health issues alone were not enough to excuse the company from its obligations under tax laws.

U.S. Circuit Judge Cory Wilson, writing for the three-judge panel, explained that the trial court had misled the jury by suggesting that the employee’s condition alone could be used as an excuse. According to the panel, RSBCO had failed to provide a legally valid justification for the late filing, and the appeals court ordered a new trial. As a result, the Fifth Circuit also vacated an award of attorney fees that had been granted to RSBCO.

In its October petition to the Supreme Court, RSBCO argued that the Fifth Circuit had ignored crucial facts, including the claim that the government, not RSBCO, had proposed the jury instructions that the appellate panel later deemed problematic. The company contended that the jury’s decision was correct, pointing to the overwhelming evidence in its favor. RSBCO argued that even if the jury had been given the corrected instructions, it would have reached the same conclusion.

The tax penalties stemmed from an incident in 2013 when the employee, responsible for filing RSBCO’s informational returns, made errors in filing 26 of over 20,000 returns. The employee, who had a master’s degree in business administration and extensive experience in banking, failed to immediately address errors flagged by the IRS. The mistakes were eventually corrected, but the returns were filed late, triggering penalties from the IRS. RSBCO’s petition highlighted that the employee had been struggling with severe depression at the time, which had caused delays in correcting the filings.

According to RSBCO, the IRS imposed penalties of $579,198.37 for the late filings, which did not result in any harm to the government or third parties. The company also argued that it had tried to resolve the issue through administrative channels, but the IRS had rejected its claims for a refund. RSBCO’s legal team stated that the IRS had already lost its case in the first administrative claim and had failed to respond favorably to the company’s second claim. The company’s petition further noted that no harm had been caused by the errors, as the late returns were ultimately corrected without any significant impact on the government or other parties.

The Supreme Court’s decision to decline RSBCO’s petition effectively upholds the Fifth Circuit’s ruling, leaving the company with limited options for challenging the penalties. RSBCO’s attorneys argued that the case raised important issues about the application of tax laws and the treatment of mental health conditions in the workplace. The company expressed frustration with the IRS’s handling of the matter, noting that it had been forced to pay the penalties despite the lack of harm caused by the filing delays.

The government, represented by Elizabeth Prelogar from the U.S. Solicitor General’s Office, did not respond to RSBCO’s petition, opting instead to waive its right to comment. RSBCO’s legal team, led by Russell Alan Woodward Jr. of the Law Offices of Russell Alan Woodward Jr. LLC, has not indicated whether it plans to pursue further legal action.

The IRS penalties had originally been imposed due to the employee’s 42-day delay in correcting the errors in the returns. The agency had initially flagged the issues and required corrections, but the employee’s mental health struggles had prevented an immediate response. In the petition, RSBCO emphasized that the company had no prior filing issues and that the employee’s personal difficulties were not known at the time.

RSBCO’s legal team also contended that the IRS's actions were unfair and that the penalties were excessive. They argued that the company had taken steps to address the issue promptly after the filing mistakes were identified. Despite the challenges, RSBCO’s legal team expressed confidence that the company had complied with all necessary procedures, although it faced an uphill battle in the appellate process.

The case has drawn attention for its potential implications on how courts handle mental health issues in the workplace, particularly in cases where employees are responsible for critical tasks like tax filings. It raises questions about the balance between personal health struggles and corporate responsibility under federal tax laws.

RSBCO’s legal challenges in this case are part of an ongoing effort to resolve the penalties, but the company now faces the prospect of a new trial, as ordered by the Fifth Circuit. The company’s legal team has indicated that it will continue to pursue all available avenues to contest the tax penalties, despite the setback at the Supreme Court.

The case is RSBCO v. U.S., case number 24-561, in the U.S. Supreme Court.
