National Resilience filed for Chapter 11

In a dramatic twist in the biotech sector, a subsidiary of National Resilience Holdco Inc. has filed for Chapter 11 bankruptcy protection, launching a high-stakes reorganization plan that involves shutting down a network of labs, offices, and manufacturing sites across the United States. Filed Tuesday in Delaware bankruptcy court, the move signals a stark reversal of fortune for a company once celebrated as a pandemic-era biomedical titan.

The entity at the center of the filing is Bedmar LLC, a once-ambitious offshoot tasked with powering the future of American biopharmaceutical production. But as independent bankruptcy manager Christopher S. Sontchi revealed, the company is now charting a course through financial turbulence by slashing its operational footprint.

Seven Sites, Zero Momentum

Bedmar’s reorganization strategy reads like a controlled demolition. The company is closing seven facilities located in California, Florida, and Massachusetts—each one labeled "underutilized" in court filings. These include sites in biotech hubs like Fremont and Bedford, which, according to Sontchi, never even opened their doors.

“The primary purpose of this Chapter 11 case is to wind down operations in an orderly manner and satisfy all allowed liabilities associated with the debtor’s idle assets,” Sontchi stated in a declaration that pulled no punches.

Lease Rejections and No Secured Debt

In tandem with its Chapter 11 filing, Bedmar submitted a motion to reject all leases tied to the soon-to-be-shuttered properties. While many bankruptcy proceedings are shadowed by a web of secured creditors, Sontchi noted Bedmar’s debt portfolio is almost entirely composed of outstanding lease obligations, making the wind-down relatively clean-cut—on paper, at least.

Bedmar's plan also includes provisions to fully pay all creditors’ allowed claims, including lease rejection damages capped under Section 502(b)(6) of the Bankruptcy Code. It's an unusual pledge of solvency in the middle of a Chapter 11 storm.

From $800M Hype to Harsh Reality

The filing paints a picture of dreams deferred and financing that fizzled. National Resilience Inc., Bedmar’s parent company, launched in November 2020 with a staggering $800 million in backing and a vision to transform the U.S. biomedical infrastructure. But by mid-2022, the gears began grinding.

The company sought to boost liquidity through sale-leaseback agreements and even secured a $246 million loan from the U.S. Department of Defense—a far cry from the $410 million originally anticipated. The financial engine sputtered, and the vision started to fray.

“Certain facilities never became operational,” Sontchi admitted. “After 18 months of failed financing attempts, it became clear that shutting down underperforming operations was the only viable path.”

Winding Down, Not Giving Up

Although this marks a sharp pivot, it’s not the end of the road. Bedmar plans to spend approximately $340,000 monthly on essentials like insurance during its wind-down phase. An additional $7.7 million per month will go toward broader operational costs tied to the shutdown.

The bankruptcy petition, filed Monday, estimates 49 creditors and places the company’s assets and liabilities between $50 million and $100 million.

Despite the dramatic shift, Bedmar appears determined to exit bankruptcy with its head held high, promising to honor its financial obligations and execute a strategic withdrawal rather than a chaotic collapse.

Legal Minds at the Helm

Bedmar is represented in the proceedings by James McCauley, Michael J. Merchant, and Amanda R. Steele of Richards Layton & Finger PA. So far, counsel for Bedmar has not issued any public comment on the matter.

As the biotech sector watches this stunning unraveling, the case of National Resilience filing for Chapter 11 stands as a cautionary tale: even the best-funded dreams can falter if the infrastructure doesn’t take root.
