T-Mobile's $4.4 billion takeover of UScellular’s wireless business cleared its final regulatory hurdle late Friday as Federal Communications Commission staff approved the necessary license transfers—just hours after the U.S. Department of Justice declined to challenge the deal.

The ruling from the FCC’s Wireless Telecommunications Bureau and Office of International Affairs marks a major milestone in the reshaping of the U.S. telecom landscape. Despite vocal opposition from consumer advocates and smaller carriers, the federal watchdog deemed the transaction in line with public interest standards, potentially setting the stage for expanded rural coverage and competitive market shifts.

A Deal Years in the Making

Originally announced last year, the deal grants T-Mobile control of UScellular’s wireless customers, its operations, and approximately 30% of its licensed spectrum. It also signals the end of an era for UScellular, a legacy regional provider that has struggled to hold ground against the “Big Three”—AT&T, Verizon, and T-Mobile itself.

The FCC, in its statement, acknowledged the acquisition triggers competitive red flags in certain markets but said, after deeper analysis, that the transaction is unlikely to harm competition or the broader public interest.

“We find the transfer of licenses and authorizations to T-Mobile will serve the public interest, convenience, and necessity,” the agency wrote.

FCC Sees Evolving Market Dynamics

As part of its review, the FCC analyzed traditional product markets for mobile telephony and broadband services but emphasized the rapid evolution of the wireless industry. The agency noted that cable providers are now emerging as formidable mobile competitors, offering bundled services and drawing price-conscious customers away from legacy telecom firms.

The FCC also highlighted UScellular’s recent customer retention struggles, concluding that it no longer served as a meaningful constraint on nationwide competition. Data modeling suggested the merger wouldn’t lead to harmful unilateral or coordinated effects, paving the way for approval.

“Consumers today are making connectivity choices across a range of platforms,” said FCC Commissioner Brendan Carr. “Our decision reflects the realities of that changing market while staying rooted in the law and the public interest.”

Among the FCC’s cited benefits were increased network efficiencies and expanded spectrum deployment, which are expected to translate into faster service and broader rural access.

“This deal will provide additional capacity and coverage benefits, particularly in underserved areas,” the commission noted in its official order.

Controversial DEI Policy Reversal Plays Role

In an unexpected twist, the FCC also accepted a commitment from T-Mobile to end its diversity, equity and inclusion (DEI) programs, following criticism from Commissioner Carr, who argued such programs could lead to discrimination.

“We accept T-Mobile’s commitment to modify its practices as firm and definite,” the FCC wrote. “These changes are expected to prevent DEI-related discrimination in the post-transaction company.”

T-Mobile’s Momentum Continues

The UScellular deal is one of several strategic moves by T-Mobile this year, including the acquisition of residential fiber provider Metronet and approval for satellite operator SES SA’s $3.1 billion buyout of Intelsat. These developments fall under the FCC’s broader Build America Agenda, which seeks to boost domestic infrastructure investment and accelerate network innovation.

With both antitrust and telecom regulators now onboard, the T-Mobile–UScellular merger is expected to close in the coming months, redefining the competitive map and potentially ushering in a new wave of consolidation and innovation across the wireless sector.
