NAIC $1.2 Trillion Insurer Private Credit

Numbers this large tend to hide in plain sight — until someone asks the right question and forces regulators to finally measure exactly what's out there. State insurance regulators are now tightening how they assess private credit, complex investments and offshore reinsurance, changes designed to provide a clearer picture of the risks quietly sitting behind life insurers' capital and the guarantees they owe policyholders.

A Response to Congressional Scrutiny

The National Association of Insurance Commissioners outlined these measures in a formal response to Senator Elizabeth Warren, after the Massachusetts Democrat had sought detailed information about insurers' exposure to private credit, private equity and affiliated investments — a request that pulled back the curtain on a corner of the insurance industry that had largely operated outside public view.

A Trillion-Dollar Footprint

These regulatory changes arrive as private assets now occupy a substantial share of insurer portfolios nationwide. The NAIC estimates U.S. insurers held approximately $1.2 trillion in private credit at the end of 2025 — a figure equivalent to roughly 13% of cash and invested assets, and a striking 21% of total bond holdings. That's not a niche corner of insurer balance sheets; it's become a central pillar.

Regulators Defend Their Evolving Approach

"Rather than relying on a static regulatory framework, regulators have regularly updated capital requirements, reporting standards, supervisory tools, and analytical capabilities to address emerging risks while maintaining a consistent focus on insurer solvency and policyholder protection," NAIC leaders said, framing the changes as continuous adaptation rather than a sudden, reactive overhaul.

Where the Complexity Really Lives

Much of this regulatory attention centers on investments whose credit quality, valuation or liquidity prove genuinely difficult to assess from the outside. The NAIC specifically identified $544 billion in privately rated bonds, business development companies and private credit funds as areas warranting particular scrutiny, precisely because of their complexity or comparatively lower transparency.

A Dramatic Shift in Life Insurer Portfolios

This shift shows up most clearly within life insurers' bond portfolios. Privately placed securities accounted for 48.4% of life industry bonds at the end of 2025, a sharp climb from 37.4% just five years earlier, according to S&P Global Market Intelligence data. This rapid growth in private placements has already triggered changes in how insurer investments get classified in the first place.

Rewriting the Rules From the Ground Up

One of the most consequential changes is the NAIC's principles-based bond definition, which took effect in January 2025. Rather than leaning primarily on an investment's legal structure to determine classification, regulators now weigh its underlying economic characteristics when deciding whether it qualifies for bond treatment — a shift from form to substance that closes potential loopholes companies might otherwise exploit.

Scrutinizing How Ratings Get Assigned

Private ratings themselves are also facing closer examination. Regulators now receive supporting documentation detailing exactly how a private letter rating was reached, while the NAIC develops a broader framework to evaluate whether rating providers' methodologies and mappings remain appropriate for regulatory purposes — essentially auditing the auditors.

A Growing Concentration Risk

This scrutiny has grown more urgent as private and illiquid investments continue expanding. Moody's estimated those holdings at $807 billion by the end of 2025, with the 10 largest holders accounting for a striking 44% of that total — a concentration that raises questions about systemic risk if even a handful of major players stumbled simultaneously.

Strengthening the Testing Framework

Regulators are also reinforcing asset-adequacy testing through Actuarial Guideline 53, paying closer attention to structured assets, illiquidity concerns and Level 3 valuations — the kinds of assets notoriously difficult to price accurately when markets grow volatile.

Applying the Same Lens to Reinsurance

A parallel approach is being extended to reinsurance arrangements. Actuarial Guideline 55 specifically targets certain life and annuity transactions involving offshore affiliates, captives and other reinsurers, requiring regulators to assess whether assets and reserves remain sufficient even after risk has technically been transferred elsewhere — closing a gap where risk might appear to vanish on paper without actually disappearing in reality.

Federal Attention Joins State Oversight

This issue has drawn interest well beyond state regulators alone. The U.S. Treasury convened state insurance commissioners in May specifically to discuss private credit, offshore life and annuity reinsurance, private letter ratings and evolving insurer business models — signaling that this concern has climbed from a state-level regulatory matter into a broader conversation about financial system stability.

Affiliated Investments Add Another Layer

Affiliated investments represent yet another piece of this broader scrutiny. Life insurers reported $321 billion in affiliated investments at year-end 2025, equivalent to roughly 5% of their cash and invested assets. According to the NAIC, such investments remain permitted under current rules, but they can raise distinct concerns around valuation, concentration, complex structures and potential conflicts of interest — issues that become especially thorny when a company is essentially investing in itself or closely related entities.

A Framework Built to Keep Evolving

"State insurance regulators continually evaluate whether the solvency framework appropriately captures emerging and changing risks," NAIC leaders said, positioning this latest round of changes as one chapter in an ongoing process rather than a final, settled answer.

What This Means Going Forward

As these tightened rules take hold, meaningful differences between insurers may become far easier to spot beyond simple headline capital ratios — differences in the actual quality of assets held, how those assets get valued, and how much risk has genuinely been transferred through reinsurance versus merely repackaged on paper.

For an industry managing trillions of dollars tied directly to policyholder guarantees, this regulatory tightening represents an attempt to ensure that behind every insurance promise sits an asset base regulators can actually see clearly, rather than one obscured by complexity and private-market opacity.
