Water may not carry the glamour of oil, but in the Permian's Delaware Basin, moving it efficiently has become its own high-stakes industry. Select Water Solutions has agreed to acquire private water infrastructure company Pilot Water Solutions for $700 million in cash and stock, a deal designed to significantly expand Select's footprint in one of the country's busiest oil and gas regions. Vinson & Elkins LLP is representing Select on the transaction, with a team led by partners Caitlin S. Turner, Benji Barron and Jackson O'Maley. Counsel information for Pilot was not immediately available.

Setting the Stage for Expansion

Announced Thursday, the deal will extend Select's water operations deeper into the Delaware Basin. The Texas-based company expects to close the transaction during the fourth quarter, putting a relatively tight timeline on what amounts to a substantial expansion of its operational reach.

Breaking Down the Purchase Price

The $700 million purchase price splits into $600 million in cash and $100 million in Select Class A common stock, with both figures subject to standard adjustments and closing conditions, according to Select's deal announcement. Beyond that base price, the seller could receive up to an additional $15 million in contingent cash payments tied to specific operational milestones — an incentive structure designed to reward continued performance after the deal closes.

Two Companies, One Complementary Business

Select provides water management services to oil and gas producers, covering transportation, recycling and disposal. Pilot, meanwhile, operates water infrastructure pipelines and disposal facilities, primarily serving oil and gas operators throughout the Delaware Basin — a pairing that reads less like two separate businesses merging and more like two puzzle pieces finally clicking together.

The Scale of the Combined Operation

Once integrated, the combined business is expected to handle more than 2.5 million barrels of produced water per day by 2027, according to the announcement — a volume substantial enough to underscore just how central water management has become to modern oil and gas production.

What Pilot Brings to the Table

Pilot currently operates approximately 2.7 million barrels per day of active permitted disposal capacity, along with 0.9 million barrels per day of undeveloped permitted disposal capacity still awaiting full buildout. The company's infrastructure also includes more than 700 miles of pipelines, according to the announcement. Notably, more than 80% of Pilot's annual revenue is backed by long-term contracts averaging over seven years — a detail that suggests Select isn't just buying physical infrastructure, but a genuinely stable, contract-secured revenue stream.

Financing the Deal

Select said it plans to finance the cash portion of the transaction using a combination of cash on hand and debt financing. JPMorgan Chase and Bank of America have already provided debt commitment letters supporting the deal, giving Select the financial backing needed to move forward with confidence as it works toward a fourth-quarter close.

For an industry where produced water management has quietly become nearly as critical as the oil and gas extraction itself, this acquisition signals Select's clear intention to solidify its position as one of the dominant players handling that essential, unglamorous but increasingly indispensable infrastructure across the Delaware Basin.
