Solar tracking leader Array Technologies on Wednesday announced it will acquire APA Solar LLC, a specialist in engineered foundation systems for solar installations, in a transformative $179 million deal that will fuse two key pieces of solar infrastructure into a single, integrated offering.

The deal, expected to close in Q3 2025, will allow Array to combine its flagship solar tracker technology with APA’s fixed-tilt mounting systems and custom foundation solutions, creating a vertically integrated powerhouse primed to support solar deployment in even the most unforgiving terrains.

Deal Breakdown and Legal Advisors

The transaction carries an enterprise value of $179 million, including $168 million in upfront cash and $42 million in deferred consideration, offset by $31 million in anticipated tax benefits from the deal.

Kirkland & Ellis LLP represented Array in the acquisition, while APA Solar was advised by Rupp Hagans & Bohmer LLP and Eastman & Smith.

Array’s legal team was led by an expansive roster of corporate, tax, capital markets, and compensation specialists, including Zach Savrick, Rhett Van Syoc, Mark Dundon, and Stephen Jacobson, among others.

A Strategic Match Made in the Dirt

The marriage between tracker tech and engineered foundations is more than complementary—it's structural alchemy, especially as solar developers increasingly confront challenging soil conditions in expanding markets.

APA’s foundation systems, known for outperforming rival solutions in rough terrain, are cheaper and quicker to install, giving Array a new competitive edge across a broad spectrum of utility-scale and commercial solar applications.

What Comes Next for the Combined Entity

Following the deal’s closing, Array will offer APA’s engineered foundations alongside its tracking systems, streamlining construction timelines and improving system performance. APA’s fixed-tilt racking solutions, widely used across the Northeast and Midwest, will also remain available as standalone products.

APA will continue to support other tracker systems, ensuring its technology stays relevant for developers using a variety of platforms. This signals that while the acquisition is strategic, it won't result in siloing or exclusivity — at least not yet.

Regulatory Approvals Await

While the acquisition has been inked, it remains subject to customary regulatory approvals and closing conditions. Given the current momentum in clean energy and government incentives for domestic solar manufacturing and deployment, observers expect a smooth path to finalization.

As the solar industry races to meet ambitious carbon neutrality targets, Array’s acquisition of APA could become a benchmark case in how consolidation accelerates innovation and reduces costs — not just for utilities and developers, but for the grid itself.
