Assura Backs KKR's $2B Takeover

In a corporate coup as sharp as a scalpel, Assura PLC, a UK-based healthcare real estate giant, has thrown its full weight behind a £1.6 billion ($2 billion) acquisition bid from U.S. private equity powerhouses KKR and Stonepeak Partners. The endorsement deals a blow to a competing British bid and sets the stage for a transatlantic takeover that could reshape the landscape of healthcare infrastructure investment.

Announced Wednesday, the agreement values each Assura share at 49.4 pence, reflecting a 31.9% premium over the closing price on February 13 — the day before word of a deal first began to ripple through markets.

The Deal: U.S. Firepower Overpowers Domestic Challenger

Acting through Sana Bidco Ltd., a vehicle for the transaction, KKR and Stonepeak have offered 48.56 pence in cash, sweetened by a 0.84 pence interim dividend. The all-cash package proved too enticing for Assura's board to pass up.

Meanwhile, the counter-offer from British-based Primary Health Properties PLC (PHP) failed to impress. Structured as 9.08 pence in cash plus 0.3848 new PHP shares per Assura share, PHP’s hybrid proposal was declared insufficient and unanimously rejected by the board — though PHP has until May 5 to submit a firmer offer.

“There can be no certainty that any firm offer will be made by PHP,” Assura stated, subtly drawing a line in the sand.

Strategic Stakes: Building the Future of Healthcare Infrastructure

Assura, a stalwart in primary care medical center development across the UK and Ireland, finds itself at the heart of a heated acquisition war. The company is seen as a linchpin in the provision of community healthcare facilities — and a tempting prize for infrastructure-hungry investors.

"KKR and Stonepeak bring deep pockets and understanding of U.K. infrastructure and real estate," said Tara Davies, KKR’s co-head of European infrastructure. She emphasized the firms' intent to support further acquisitions, suggesting this is more than just a buyout — it's a launchpad.

Legal Maneuvers and Shareholder Chess

The acquisition will proceed via a scheme of arrangement under the UK Companies Act 2006, requiring the support of at least 75% of Assura shareholders. No date has been fixed for the shareholder vote, but Assura’s board has already expressed firm support, calling the deal “fair and reasonable.”

"KKR and Stonepeak’s offer allows Assura shareholders to realize their investment at an attractive price," said Ed Smith, Assura’s non-executive chairman. Directors holding 0.1% of shares have already pledged their votes.

The Road to Clearance: Global Greenlights Needed

The path to closing, however, winds through international regulatory checkpoints. The deal must receive antitrust approval in China, the EU, Israel, and South Korea, along with national security clearance in Ireland. Despite these hurdles, the companies expect completion by September.

Advisers in the Arena

The high-stakes deal is being orchestrated by a cast of elite legal and financial advisers:

  • Assura: Legal advice from Travers Smith LLP; financial advisory from Lazard, Barclays Bank PLC, and Stifel Nicolaus Europe Ltd.

  • KKR and Stonepeak: Legal advisory from Simpson Thacher & Bartlett LLP, and South African law support from Bowmans; financial advisory from Jefferies International Ltd.

  • PHP (rival bidder): Guided by CMS Cameron McKenna Nabarro Olswang LLP

A Larger Battle Over British Real Estate?

Assura’s story is emblematic of a larger trend: foreign capital’s increasing dominance in UK real estate, especially in sectors like healthcare where stable returns are coupled with social value. The tug-of-war between American firepower and British heritage is now playing out across investor boardrooms, courtrooms, and soon — shareholder meetings.

For now, KKR and Stonepeak are poised to take the reins. But as the deadline looms and regulatory fog lingers, the final act of this acquisition drama is still to come.
