In a move that signals a major shakeup in the American dining landscape, Denny’s Corp. — the 70-year-old diner chain synonymous with pancakes and late-night breakfasts — has agreed to a $620 million go-private sale to a consortium led by TriArtisan Capital Advisors, Treville Capital Group, and franchise powerhouse Yadav Enterprises.

The deal, announced late Monday, will take the publicly traded company off the Nasdaq, ending its long run as one of the country’s most recognizable mid-tier restaurant chains.

A Premium Offer to Shareholders

Under the agreement, Denny’s shareholders will receive $6.25 per share, representing a 52% premium to Monday’s closing price and a 37% premium to the 90-day volume-weighted average. The market responded immediately — shares surged nearly 50% on Tuesday morning trading.

The board of directors unanimously approved the deal after vetting more than 40 potential buyers, according to the company’s statement.

“This transaction represents the best path forward,” said Kelli Valade, Denny’s chief executive officer. “It provides immediate and certain value for shareholders while aligning us with experienced stewards of leading restaurant brands.”

Valade added that the decision followed “a careful review of all strategic alternatives,” noting that the cash certainty and growth potential under private ownership made the proposal “fair and in the best interests of stockholders.”

The Power Players Behind the Deal

The buyer group brings together a trio of heavyweights in the restaurant and investment world:

• TriArtisan Capital Advisors, based in New York, best known for its ownership stake in P.F. Chang’s, is leading the acquisition.

• Treville Capital Group, an alternative asset manager, brings financial muscle to the table.

• Yadav Enterprises, one of Denny’s largest franchise operators with 550 restaurants nationwide, adds industry expertise and operational reach.

TriArtisan co-founder Rohit Manocha hailed the acquisition as a celebration of an enduring American brand.

“Denny’s is an iconic piece of the American dream,” Manocha said. “We look forward to supporting its next chapter of growth and innovation.”

After the transaction closes — expected in the first quarter of 2026, pending shareholder and regulatory approvals — Denny’s stock will be delisted from Nasdaq, signaling the end of its era as a publicly traded company.

Legal Heavyweights Steering the Deal

At least five law firms are advising on the complex go-private transaction:

• Morgan Lewis & Bockius LLP, Sidley Austin LLP, and Caiola & Rose LLC are representing Denny’s.

• Ropes & Gray LLP is advising TriArtisan Capital Advisors.

• Choate Hall & Stewart LLP is guiding Treville Capital Group.

The Morgan Lewis team is led by partners Justin Chairman, Rachel Lewis, and Patrick Rehfield, while Sidley’s group is helmed by Kai Liekefett, Derek Zaba, and Scott Williams.

It was not immediately clear whether Yadav Enterprises retained separate counsel.

The acquisition underscores a broader industry trend of restaurant chains seeking private backing to revitalize operations and weather changing market dynamics.

If the deal closes as planned, Denny’s will join a growing list of legacy dining brands finding renewed life away from Wall Street’s spotlight — a nostalgic name gearing up for a modern comeback.
