Element, Solstice $14.5B Deal

A merger built to reshape two companies' futures has instead unraveled before it ever left the drafting table. Solstice Advanced Materials Inc. and Element Solutions Inc. announced Thursday they've terminated their early-July agreement, which would have seen Solstice acquire Element in a deal valued at $14.5 billion — a partnership originally designed to strengthen Solstice's foothold in the booming data center and semiconductor manufacturing sectors.

What the Original Deal Promised

Under the terms first announced in July, Solstice — a company spun off from Honeywell — planned to finance the acquisition using a combination of stock, debt and cash on hand, with an expected closing sometime in the first half of 2027. The plan looked solid on paper, pairing two companies whose specialties seemed to complement each other neatly.

Why the Deal Fell Through

Rather than pointing to financing troubles or regulatory hurdles, both companies traced the collapse back to something more personal: pushback from their own shareholders. In separate statements issued Thursday, Solstice and Element each acknowledged that investor feedback ultimately shaped the decision to walk away.

Solstice's Perspective on the Reversal

"While we viewed the Element acquisition as an opportunity to accelerate our strategy, we have great confidence in our strategic plan and respect our shareholders' views," said David Sewell, president and CEO of Solstice — language that frames the termination less as a defeat and more as a course correction driven by investor input.

Notably, the company confirmed that no termination fees are owed by either party as a result of walking away from the deal, suggesting the split was handled cooperatively rather than through a contentious legal battle.

Element's Take on the Mutual Split

Element characterized the termination as a jointly reached decision rather than a one-sided withdrawal. Chair Ian G.H. Ashken attributed the outcome to "constructive feedback from our shareholders and discussions between the parties."

"Both companies' boards concluded that Element Solutions and Solstice would serve our respective shareholders better as standalone companies at this time," Ashken said — a conclusion that essentially reverses the original rationale for combining forces in the first place.

The Strategic Logic That Didn't Survive

Under the original plan, the companies had described their businesses as natural complements: Element's focus on electronics chemicals was meant to pair neatly with Solstice's data center cooling and refrigerant product lines, creating a combined company positioned to serve two of the fastest-growing corners of the tech infrastructure world. That vision, at least for now, has been shelved.

The Legal and Financial Teams Involved

Element had been advised throughout the process by Paul Weiss Rifkind Wharton & Garrison LLP. Solstice, meanwhile, relied on a broader team: Davis Polk & Wardwell LLP and Hogan Lovells Cadwalader LLP served as M&A counsel, while Cleary Gottlieb Steen & Hamilton LLP handled financing matters.

The Financing That Won't Be Needed

As part of the now-abandoned deal, Solstice had arranged a substantial $4.7 billion bridge loan from Goldman Sachs, with Willkie Farr & Gallagher LLP advising Goldman on that financing arrangement — capital that will presumably sit unused now that the underlying acquisition it was meant to fund has been called off entirely.
