Eli Lilly and Co. is placing a substantial wager on a fundamentally different approach to treating autoimmune disease — one that doesn't just calm the immune system down, but goes after the specific culprits driving the illness in the first place. The pharmaceutical giant announced Monday it has agreed to pay up to $2.875 billion in cash to acquire Merida Biosciences Inc., a biotech focused on autoimmune and allergic disease treatments.

The Financial Structure of the Deal

Under the agreement, Lilly's payment structure includes an upfront sum of undisclosed value, layered with contingent milestone payments that could push the total transaction value up to $2.875 billion, according to the company. Lilly is being advised by Ropes & Gray LLP on the acquisition, while Merida has enlisted Goodwin Procter LLP as its legal counsel.

A Different Approach to Autoimmune Disease

What makes Merida's science distinctive is its focus on degrading pathogenic autoantibodies — the specific disease-causing agents responsible for triggering certain immune-mediated conditions. Rather than broadly suppressing the immune system, as many current therapies do, this "degradation" approach targets the actual biological root of the disease itself, according to Lilly.

The Lead Program in Development

Merida's flagship program, MER511, is currently in Phase 1 development, targeting Graves' disease and thyroid eye disease — two autoimmune conditions tied directly to the type of pathogenic autoantibodies Merida's platform is designed to eliminate.

Because pathogenic autoantibodies drive a wide range of serious diseases beyond just these two conditions, Lilly noted that Merida's underlying technology platform could potentially extend well beyond its current lead program into other therapeutic areas entirely.

A Pipeline Reaching Into Allergies

Merida's broader pipeline also includes MER769, a preclinical program targeting food allergy, asthma and other conditions driven by the specific antibody responsible for triggering allergic reactions — suggesting the company's technology could eventually address a considerably wider swath of immune-related illness than autoimmune disease alone.

Lilly's Strategic Rationale

Dr. Francisco Ramírez-Valle, Lilly's senior vice president of immunology research and early clinical development, framed the acquisition as part of a broader company strategy centered on therapies that "meaningfully change the course of disease, not just its downstream effects."

"Merida's lead program is designed to do exactly that: selectively and directly eliminating the autoantibodies causing Graves' disease and thyroid eye disease, while preserving normal immune function," Ramírez-Valle said in Monday's company statement — emphasizing precision over the broader immune suppression that characterizes many existing treatments.

What Comes Next

The transaction remains subject to customary closing conditions, including regulatory approvals, with both companies expecting the deal to close during the fourth quarter of 2026.
