Nestlé SA is trimming its portfolio again, this time cutting loose its mainstream vitamins, minerals and supplements business. The food and beverage giant announced Tuesday it will sell the division to Boston-based private equity firm Yellow Wood Partners for $1 billion, in a move framed as part of a broader strategy to double down on businesses where Nestlé sees a genuine competitive edge.

The Brands Changing Hands

The deal sweeps up a substantial roster of familiar names: Nature's Bounty, Osteo Bi-Flex, Ester-C, Gard, Nuun, Puritan's Pride and Sisu, along with Nestlé's associated U.S. private-label supplements business and the related manufacturing, packaging, warehousing and distribution operations that support them.

What's Staying Behind

Not everything is on the table. The transaction notably excludes what Nestlé describes as its "premium, science-led" vitamins, minerals and supplements offerings, including brands like Solgar and Pure Encapsulations — a distinction that draws a clear line between mass-market supplements and the more specialized, higher-margin end of the business.

Nestlé's Reasoning Behind the Sale

Nestlé CEO Philipp Navratil said in a statement that the premium brands "continue to perform strongly," but argued the mainstream vitamins, minerals and supplements business "requires a different approach under dedicated ownership" — language suggesting the division simply didn't fit Nestlé's evolving strategic priorities, regardless of its underlying performance.

"We are focusing our resources where we have the strongest competitive advantage," Navratil said.

Part of a Larger Restructuring Wave

This sale isn't happening in isolation. It fits within a broader restructuring campaign underway at Nestlé under Navratil's leadership, which also includes the Swiss company's recent agreement to carve out part of its waters business into a joint venture with private equity firm Platinum Equity — suggesting a pattern of the company reshuffling its portfolio piece by piece rather than all at once.

The Business Being Sold

In 2025, the mainstream vitamins, minerals and supplements business generated sales of $1.2 billion, according to Nestlé. The division operates primarily in the U.S., with additional presence in markets including Canada and China.

Yellow Wood's Perspective on the Acquisition

Yellow Wood highlighted the strength of what it's acquiring, noting in a statement that Nature's Bounty ranks as the No. 2 overall vitamins, minerals and supplements brand in the U.S., as well as the country's leading women's health brand. Partner Tad Yanagi said the full portfolio "is deeply aligned with our focus, expertise and functional operations approach" — signaling confidence that these brands fit neatly into Yellow Wood's existing playbook.

A Firm Built on Corporate Carveouts

This acquisition marks Yellow Wood's sixth significant carveout deal from a major global consumer company, following similar transactions involving Bayer, Reckitt, Unilever and Haleon — a track record that positions the firm as something of a specialist in extracting standalone businesses from larger corporate parents.

Dana Schmaltz, another partner at Yellow Wood, said operating the Nestlé supplements business as a standalone entity "will provide the opportunity to leverage the power of each brand to accelerate growth, enhance innovation and strengthen their market positions."

Yellow Wood's Broader Footprint

According to its website, Yellow Wood has acquired roughly 60 brands over the years and currently manages about $2.7 billion in assets — figures that place this latest billion-dollar deal as a meaningful, though not singularly defining, addition to an already substantial portfolio.

The Legal Teams Behind the Deal

Goodwin Procter LLP is advising Yellow Wood on the transaction. Latham & Watkins LLP is serving as U.S. counsel to Nestlé, led by partners Alex Voxman and David Zaheer, while McCarthy Tétrault LLP is handling Canadian counsel duties for Nestlé. Deal team information for both Goodwin and McCarthy Tétrault was not immediately available.
