In a move shaking up the data management and AI sectors, Veeam Software has inked an agreement to acquire Securiti AI — a data privacy management innovator — in a transaction valued at roughly $1.7 billion, according to Schroders Capital Global Innovation Trust PLC, a minority investor in Securiti since 2019.

The trust, listed on London’s Alternative Investment Market (AIM), confirmed that the sale will yield “meaningful proceeds” for shareholders and accelerate its managed wind-down process.

A Strategic Win for All Sides

Willkie Farr & Gallagher LLP is advising Veeam in the deal, while counsel for Schroders was not immediately disclosed. Schroders Capital said it has witnessed an earlier-than-expected value realization, with portfolio managers Tim Creed and Harry Raikes noting the deal’s significance for shareholders.

“This is a significant value realization that has occurred earlier than we had anticipated and is expected to generate meaningful proceeds for shareholders,” the duo said in a statement.

The Growth of Securiti AI and Schroders’ Early Bet

Schroders first invested indirectly in Securiti AI in 2019, before doubling down with a direct investment in 2023 alongside other Schroders Capital funds. The trust’s valuation of its Securiti stake has soared from £3.6 million in June to about £7.7 million ($10.25 million) now — more than doubling in just a few months.

Though further deal details remain undisclosed until closing, the acquisition underscores the escalating demand for AI-driven data privacy and compliance solutions as digital ecosystems expand globally.

Veeam’s Billion-Dollar Data Push

Veeam, backed by Insight Partners, has been aggressively expanding its cloud and AI capabilities. Insight acquired Veeam in 2020 for $5 billion and later sold a $2 billion minority stake in 2024, valuing Veeam at $15 billion.

The minority sale included investment heavyweights TPG, Temasek, and Neuberger Berman Capital Solutions, reflecting investor confidence in Veeam’s strategic trajectory.

With the acquisition of Securiti AI, Veeam positions itself as a dominant force in data backup, governance, and AI automation, strengthening its grip on the fast-evolving data intelligence market.

Schroders’ Exit and the Bigger Picture

Schroders Capital Global Innovation Trust, managed by Schroders PLC, is winding down its operations after shareholder approval in February. The Securiti sale marks one of the most notable exits in its wind-down phase, signaling a lucrative finale for investors.

As the deal finalizes, analysts say Veeam’s acquisition could reshape how enterprises handle data resilience and compliance — merging power, precision, and AI innovation into one formidable ecosystem.
