Vermillion $120M Sale Of US Assets

In a decisive strategic maneuver that underscores a sharp pivot in global energy priorities, Vermilion Energy Inc. announced Thursday it has finalized a deal to sell its remaining U.S. assets for $120 million in cash, marking the company’s complete withdrawal from the United States energy sector.

The sale, effective retroactively to January 1, 2025, includes oil and gas holdings in Wyoming that generate approximately 5,500 barrels of oil equivalent per day, backed by roughly 10 million barrels of proved developed producing reserves. While the buyer's identity remains cloaked in confidentiality, the deal is set to close in Q3 of 2025, pending customary approvals.

“This transaction, combined with the sale of our East Finn assets in 2023, completes our exit from the United States,” Vermilion said in a statement. “We are deeply grateful to our Wyoming teams for over a decade of dedicated work.”

Rebalancing the Energy Equation: Gas Takes the Helm

This move isn’t just a farewell to American soil—it’s a recalibration of Vermilion’s entire operational compass. Proceeds from the sale will be funneled toward debt repayment, pushing projected net debt down to $1.3 billion and aligning its net debt-to-funds-from-operations ratio at 1.3x by year-end, assuming commodity pricing trends remain stable.

The sale follows a CA$415 million divestiture of Canadian assets in Saskatchewan and Manitoba announced just last month. These back-to-back deals are part of Vermilion's broader plan to zero in on scalable, gas-weighted assets with longer life cycles—with primary growth targets set in Western Canada, Europe, and Australia.

Operational Impact: Lower Spending, Tighter Output

Alongside the sale, Vermilion revised its 2025 financial outlook, cutting capital spending guidance by $100 million and lowering production forecasts to a range between 117,000 and 122,000 barrels of oil equivalent per day.

“More than 90% of our production going forward will come from our global gas portfolio,” the company emphasized, signaling a firm commitment to energy streams better positioned for long-term resilience and lower carbon intensity.

Advisers Behind the Curtain and Contingency Clues

Behind the scenes, Torys LLP and Davis Graham & Stubbs LLP provided legal counsel to Vermilion, while Wells Fargo served as the exclusive financial adviser, and Citi weighed in as strategic adviser.

The agreement also includes a cherry on top for Vermilion—up to $10 million in contingent payments, tied to WTI crude price averages between July 2025 and June 2027. That kicker adds a speculative edge to the deal, offering future upside if the market tilts in their favor.

The Bigger Picture: From the Heartland to the Hemisphere

Vermilion’s exit from the U.S. market may feel like a dramatic curtain fall, but it's actually the opening act of a new act in global energy theatre. As energy companies face intensifying pressure to adapt to fluctuating prices, investor demands, and climate-conscious policy, this $120 million divestment is more than a geographic shift—it’s a symbolic realignment toward future-proof fuel sources.

With gas now playing lead in Vermilion's global production portfolio, and the U.S. chapter firmly closed, the company is charting a path through a world where flexibility, scale, and lower emissions define energy dominance.
