As data centers hunger for more electricity than the grid can comfortably supply, Vertiv Holdings Co. is positioning itself to control the power spigot directly. The company announced Wednesday it has agreed to acquire UtilityInnovation Group, a provider of microgrid controls and behind-the-meter power systems built specifically for data centers, in a deal worth roughly $1.45 billion in cash at closing, with up to an additional $1.15 billion tied to future earnings targets.

How the Deal Is Structured

Under the terms of the agreement, Vertiv's wholly owned subsidiary, Vertiv Corp., will merge with Utility Innovation Holdings Inc., the parent company operating as UtilityInnovation Group, or UIG. Buchanan Ingersoll & Rooney PC is advising Vertiv on the transaction, while Davis Polk & Wardwell LLP is representing UIG.

What UIG Brings to Vertiv's Arsenal

The acquisition hands Vertiv a substantial new toolkit: technology for managing microgrids, on-site power generation and energy storage, along with equipment and systems specifically designed for managing power flow at data center facilities.

Expanding Upstream Toward the Grid

Vertiv framed the deal as a strategic move to extend its power and cooling portfolio further upstream — reaching toward utility interconnections and on-site power sources — precisely as data center operators increasingly bump up against constraints on their access to reliable grid power. Rather than simply managing power once it arrives at a facility, Vertiv is now positioning itself to help generate and control that power closer to the source.

Leadership's Take on the Strategic Fit

Vertiv CEO Gio Albertazzi framed the acquisition around a competitive reality facing the AI data center industry. "For AI data center operators, competitive advantage increasingly depends on how quickly they can move from site selection" to bringing AI data centers online, Albertazzi said in a statement — a framing that positions speed-to-power as the new bottleneck determining which operators win in the AI infrastructure race.

Financial Expectations Going Forward

Vertiv expects the acquisition to boost its adjusted earnings per share within the first year following closing, which the company anticipates will occur during the fourth quarter.

UIG is headquartered in Raleigh, North Carolina, with a European headquarters based in Dublin, Ireland, and manufacturing operations spread across North Carolina and New Jersey. The company specializes in designing power systems that help data centers intelligently manage electricity flowing in from on-site generators, batteries and the traditional electric grid alike.

A Flexible Approach to Power Generation

Vertiv emphasized that UIG's technology is designed to be "generation-agnostic," giving data center operators the flexibility to build power architectures around whatever generation technologies, fuel sources and financing arrangements happen to be available to them — a design philosophy that avoids locking customers into any single power generation approach as the energy landscape continues to shift.
