Pizza Hut to Be Sold in $2.7 Billion Deal by Parent Company Yum! Brands

Pizza Hut is entering a new chapter after parent company Yum! Brands announced it will sell the iconic pizza chain in a pair of transactions worth a combined $2.7 billion.

The strategic move comes after years of declining sales, restaurant closures, and growing competition in the quick-service restaurant industry, marking one of the biggest restaurant deals of 2026.

Pizza Hut operates Outside and Inside Mainland China

Under the agreement, private equity firm LongRange Capital will acquire Pizza Hut's operations outside mainland China for approximately $1.5 billion, while Yum China Holdings Inc. will purchase the mainland China business for roughly $1.2 billion.

Yum! Brands said the transactions are expected to close during the third quarter of 2026, subject to regulatory approvals.

A Strategic Shift for Yum! Brands

The sale concludes a strategic review that Yum! Brands launched in late 2025 after Pizza Hut continued to post disappointing comparable-store sales.

Sister brands KFC and Taco Bell have generated stronger continuous growth.  Pizza Hut is struggling to keep pace with changing consumer preferences and an increasingly competitive pizza marketplace.

Yum! Brands announced earlier this year that it planned to close approximately 250 underperforming U.S. restaurants as part of its turnaround strategy. However, executives ultimately determined that the chain would have a better opportunity for long-term success under new ownership.

Chief Executive Officer Chris Turner said the company believes LongRange Capital and Yum China possesses the operational expertise needed to position the brand for future growth while allowing Yum! Brands to focus on its remaining restaurant portfolio.

Pizza Hut An Iconic Brand Faces Modern Challenges

Founded in Wichita, Kansas, in 1958 by brothers Frank and Dan Carney, Pizza Hut grew into one of the world's most recognizable restaurant brands. It became part of PepsiCo in 1977 before being spun off into Yum! Brands in 1997.

Today, Pizza Hut operates nearly 20,000 restaurants across more than 100 countries, including roughly 6,500 locations in the United States. Despite its global reach, the U.S. market accounts for nearly half of the company's sales.

The chain has faced mounting pressure from competitors, particularly as consumers increasingly favor digital ordering, third-party delivery services, and value-focused promotions.

Rivals such as Domino's have expanded their market share by investing heavily in technology and delivery efficiency, while Pizza Hut has struggled to reverse declining sales trends.

AI Technology Rollout Creates Legal Dispute for Delivery

Pizza Hut has also faced operational challenges related to technology.

One of its franchisees, which operates more than 100 restaurants across Maryland, Pennsylvania, New York, New Jersey, and Washington, D.C., filed a lawsuit alleging that a new artificial intelligence-powered restaurant management system severely disrupted delivery.

According to the lawsuit, more than 90% of deliveries had arrived within 30 minutes before the AI system was introduced.

After implementation, the franchisee claims DoorDash drivers were able to view when pizzas would be ready, leading many drivers to wait for multiple orders before leaving restaurants. The lawsuit alleges the resulting delays cost the franchise operator approximately $100 million in lost business.

The litigation remains ongoing, and Yum! Brands has not publicly accepted the allegations made in the complaint.

Why the Pizza Hut Sale Matters

Restaurant analysts say the transaction reflects broader changes occurring throughout the fast-food industry.

Consumers have become more price-conscious amid persistent inflation, while delivery platforms have fundamentally changed how many customers purchase meals.

At the same time, restaurant chains are investing heavily in automation, artificial intelligence, loyalty programs, and digital ordering systems to improve efficiency and customer retention.

For LongRange Capital, the acquisition represents an opportunity to revitalize one of the world's best-known restaurant brands through operational improvements and franchise investments.

Meanwhile, Yum China gains complete ownership of Pizza Hut's mainland China business, one of the company's strongest international markets, where the brand continues to enjoy significantly better performance than in North America.

Looking Ahead to Expansion

Once the transactions are finalized, Yum! Brands will continue concentrating on expanding its remaining brands, including KFC, Taco Bell, and Habit Burger & Grill, while Pizza Hut begins operating under separate ownership.

Whether the change ultimately restores Pizza Hut's competitive position remains to be seen. New ownership will inherit a globally recognized brand with decades of customer loyalty, but also the challenge of modernizing operations, improving digital performance, and winning back market share in an increasingly crowded pizza industry.

If LongRange Capital can successfully modernize the chain while preserving its iconic identity, Pizza Hut could once again become a stronger competitor in the global quick-service restaurant market.
