A stock jump of nearly 50% in a single day tends to mean one of two things: a company just posted extraordinary results, or someone just agreed to buy it at a serious premium. For Varex Imaging, it was the latter.

Teledyne Technologies announced Monday it has agreed to acquire Varex Imaging Corp. in a deal valued at approximately $1.1 billion, paying $18.90 in cash for every outstanding common share. The agreement was unanimously approved by both companies' boards, and the market reacted immediately — Varex shares were trading up more than 48% Monday, hovering around $18.42, just shy of the deal price itself.

What Teledyne Is Actually Buying

Varex isn't a household name, but its technology sits at the center of an unusually wide range of industries. The company develops X-ray sources and digital X-ray detectors, along with high-voltage interconnects and imaging software supplied to manufacturers around the world.

Its X-ray tubes, flat-panel and photon-counting detectors, and related connect-and-control accessories show up in medical diagnostic imaging, nondestructive inspection, security and vehicle inspection systems, and broader analysis and measurement applications — a footprint that touches hospitals, airports, industrial inspection lines and beyond.

For Teledyne, a company already established in digital imaging products and software, instrumentation, aerospace and defense electronics, and engineered systems, the acquisition reads less like diversification and more like consolidation of an adjacent market it already understands.

Why the Two Companies See a Fit

Robert Mehrabian, Teledyne's executive chair, framed the deal as a case of two companies already circling the same customers finally combining forces. He said Teledyne and Varex serve similar clients using related technologies, but described their actual product lines as complementary with little overlap — the kind of fit that lets an acquirer add capability rather than simply absorb a competitor.

Varex CEO Sunny Sanyal, for his part, emphasized what the deal means on the other side of the table. He said the transaction delivers a substantial premium for Varex shareholders, while opening new opportunities for the company's customers and employees across both the medical and industrial markets it serves — the kind of framing companies typically reach for when a sale represents an ending as much as a beginning.

The Deal Team

The transaction brought in a dense roster of legal and financial advisers on both sides. Latham & Watkins LLP and McGuireWoods LLP advised Teledyne, with the Latham team led by partners Steven Stokdyk and Darren Guttenberg. Orrick Herrington & Sutcliffe LLP represented Varex, with a team led by partners Brett Cooper, Richard Smith and Joanna Pak.

Evercore served as Varex's exclusive financial adviser, itself advised by Fried Frank Harris Shriver & Jacobson LLP, led by partners Philip Richter and Roy Tannenbaum.

What Happens Next

The deal still has hurdles to clear before it's final, including regulatory approvals and a vote from Varex's own stockholders. Assuming those conditions are met, Teledyne expects the acquisition to close in early 2027.

Until then, Varex shareholders are left watching a stock that jumped nearly 50% in a single trading session — a number that says less about the company's day-to-day performance and more about what Teledyne was willing to pay to bring its imaging technology in-house.
