What’s Behind the Records Fight

• Florida’s pension fund and another Times shareholder want board-level records showing how the company oversees accuracy, corrections and editorial standards.
• The lawsuit does not ask a judge to rule that The New York Times is biased; it seeks corporate records under New York shareholder law.
• The records could determine whether the dispute ends with an inspection — or becomes the foundation for later shareholder litigation.

The legal fight that landed in a Manhattan courtroom this week is bigger — and legally more unusual — than a dispute over newspaper coverage.

The State Board of Administration of Florida, acting for the Florida Retirement System Trust Fund, and the National Center for Public Policy Research sued The New York Times Company on September 23, seeking access to internal corporate records. Florida's fund holds 161,375 shares of Times Class A stock and serves more than 1.2 million members and beneficiaries.

But this is not a defamation lawsuit, and the petition does not ask a judge to decide whether Times coverage of Israel is fair, accurate or politically slanted. Instead, the shareholders are using New York Business Corporation Law §624 and New York common law to ask a more technical question: Does the Times board actually oversee the systems designed to protect the company's journalistic credibility?

That distinction matters.

The Times itself tells investors that its brand and reputation are key corporate assets and warns in its 2025 annual report that perceptions that its journalism is unreliable or biased could damage its business. The shareholders are effectively using that disclosure against the company, arguing that if credibility is a recognized financial risk, shareholders may investigate how directors monitor it.

Their narrowed August 26 demand seeks board-level records dating from 2020, including reporting channels through which accuracy problems, corrections, editorial-standard violations or defamation risks reach directors; board and committee agendas showing whether those matters were discussed; versions of the Times' editorial standards and Audit Committee charter; and records identifying where the standards editor sits in the corporate reporting structure.

The petition also relies heavily on allegations from an unnamed former newsroom employee who worked at the Times for roughly a decade. According to the filing, she raised concerns about alleged anti-Israel bias and violations of newsroom standards on at least 15 occasions beginning in 2019. Those allegations have not been proven in court.

The shareholders also point to outside research. A 2024 peer-reviewed Israel Affairs study reported finding 72 Times corrections involving Israel-Hamas war coverage between October 7, 2023, and June 7, 2024, including 48 concerning Israel. A separate 2026 study by Yale School of Management professor Edieal Pinker analyzed 1,559 Times articles and reported substantial differences in how Israeli and Palestinian suffering and responsibility for the conflict were presented. Those findings are the researchers' analyses, not judicial determinations that the newspaper engaged in intentional bias.

The Times strongly disputes the case. Spokesman Charlie Stadtlander called it meritless and said the proceeding is an attempt to place “agenda-driven pressure” on an independent news organization and chill First Amendment-protected journalism. The company previously argued that the document demands were pretextual and improperly reached into editorial decision-making.

That sets up the real legal collision: shareholder inspection rights versus editorial independence.

New York courts have recognized that shareholders can obtain records to investigate possible corporate mismanagement, and the petition relies heavily on Retirement Plan for General Employees of the City of North Miami Beach v. McGraw-Hill Companies Inc., 120 A.D.3d 1052 (1st Dep't 2014), where shareholders were permitted to investigate board oversight of alleged misconduct at Standard & Poor's. Common-law inspection rights can extend beyond the records specifically listed in §624, provided the shareholder shows a legitimate corporate purpose and the requested material is relevant to it.

There is another reason to watch this case. The petition expressly says inspection could help shareholders evaluate a possible derivative action. In other words, obtaining the documents may be the beginning of the litigation rather than the end.

As of September 24, the publicly released proposed order to show cause contains blank spaces for the assigned judge, hearing date and briefing deadlines. Once the court sets those dates, the Times is expected to formally oppose inspection, after which New York law provides for a summary hearing on whether the shareholders are entitled to the requested records.
