Amazon buys Globalstar in sweeping satellite deal to reshape global connectivity

Amazon buys Globalstar

In a move that stretches from Earth to orbit, Amazon buys Globalstar, setting the stage for a high-stakes expansion into direct satellite-to-device communications and redefining how billions stay connected.

Amazon and Globalstar announced Wednesday that they have entered into a definitive merger agreement under which Amazon will acquire the satellite operator. The deal is designed to supercharge Amazon’s low Earth orbit network, known as Amazon Leo, by adding direct-to-device (D2D) capabilities that extend cellular coverage far beyond traditional infrastructure.

At the same time, Amazon revealed a parallel agreement with Apple to power satellite features on iPhones and Apple Watches — including Emergency SOS via satellite — signaling a three-way alignment poised to reshape mobile connectivity.

Building a network beyond the horizon

Amazon’s vision reads like a blueprint for a borderless network. By integrating Globalstar’s satellite infrastructure, spectrum licenses, and operational expertise, the company aims to deliver continuous connectivity to consumers, businesses, and governments — whether deep in remote regions or moving through areas with unreliable cellular coverage.

“There are billions of customers beyond the reach of existing networks,” said Panos Panay, senior vice president of devices and services at Amazon. “By combining Globalstar’s foundation with Amazon’s innovation, customers can expect faster, more reliable service in more places.”

Globalstar, long a pioneer in non-geostationary orbit satellites and mobile satellite services, brings decades of experience to the deal. Its CEO, Paul Jacobs, said the merger accelerates a shared vision of connecting “anywhere and anytime.”

Direct-to-device revolution begins in 2028

Central to the strategy is Amazon Leo’s upcoming D2D system, expected to launch in 2028. The next-generation platform will enable voice, data, and messaging services directly to mobile devices — no cell towers required.

Designed for higher efficiency and performance than legacy systems, the D2D network will integrate seamlessly with Amazon’s broader satellite constellation, which is expected to include thousands of orbiting units capable of supporting hundreds of millions of connections worldwide.

Like stitching invisible threads across the globe, the system aims to unify fixed and mobile satellite services into a single, high-capacity network.

Apple partnership expands life-saving features

The agreement with Apple ensures continuity — and expansion — of satellite-powered features already in use. Globalstar currently supports satellite services on iPhone 14 and later models, as well as Apple Watch Ultra devices.

Under the new arrangement, Amazon Leo will take over and extend these capabilities, including emergency messaging, roadside assistance, location sharing, and communication off the grid.

“Emergency SOS via satellite has already helped save lives,” said Greg Joswiak, Apple’s senior vice president of worldwide product marketing. He cited real-world rescues, from stranded hikers in British Columbia to a dramatic airlift in Colorado.

Closing the digital divide — and opening new markets

The acquisition is expected to accelerate innovation across the satellite and telecommunications sectors. By combining Amazon’s scale with Globalstar’s spectrum assets, the companies aim to deliver faster deployment of D2D connectivity in regions where traditional infrastructure is costly or unreliable.

The benefits extend beyond convenience. Satellite connectivity can serve as a lifeline during disasters — hurricanes, wildfires, and floods — when terrestrial networks fail. It also supports critical operations, from search-and-rescue missions to maritime distress signals and remote workforce connectivity.

Economically, Amazon’s multibillion-dollar investment in Amazon Leo is already generating jobs across engineering, manufacturing, and operations, with further growth expected as the network expands globally.

Deal structure and regulatory path ahead

Under the terms of the agreement, Globalstar shareholders will receive either $90 per share in cash or 0.3210 shares of Amazon stock, with the stock portion capped at the same value. Cash elections are limited to 40% of total shares, with excess converted to stock on a proportional basis.

The total deal value could be reduced by up to $110 million if certain operational milestones are not met.

Stockholders representing approximately 58% of Globalstar’s voting power have already approved the transaction. The deal is expected to close in 2027, pending regulatory approvals and the successful completion of satellite development milestones.

Risks, uncertainties, and the road ahead

As with any major merger, the agreement carries risks — including potential litigation, regulatory hurdles, operational disruptions, and market volatility. Both companies cautioned that forward-looking statements are subject to uncertainties ranging from geopolitical tensions to economic conditions and technological challenges.

Filings with the U.S. Securities and Exchange Commission, including a forthcoming Form S-4 registration statement and information statement, will provide additional details for investors.

Still, the ambition is unmistakable: a future where connectivity no longer depends on geography, and where the sky is not a limit, but the infrastructure itself.
