Alpha Financial Markets Consulting Ltd. announced Thursday that Bridgepoint Advisers, through a controlled company, is considering a £578 million ($734 million) takeover bid. Alpha FMC indicated it would recommend this offer to shareholders if a formal bid is made.

Proposed Acquisition Details

Actium Bidco UK Ltd., an indirect subsidiary of funds managed by Bridgepoint, has proposed 505 pence in cash for each Alpha FMC share. This offer represents a 51% premium over the company's closing price of 335 pence on April 30, the day before the takeover interest was revealed.

Bridgepoint to Acquire Alpha FMC : Legal Advisors

Allen Overy Shearman Sterling LLP is acting as legal adviser to Bridgepoint and the bidco, while Addleshaw Goddard LLP is representing Alpha FMC in the transaction.

Bridgepoint believes that with additional investment and enhanced talent and expertise, Alpha FMC is well-positioned for future success. Bridgepoint is known as a private asset growth investor specializing in private equity and private credit.

Financial Performance and Market Reaction

Alpha FMC reported £133.8 million in revenue for its financial year, marking an 11.5% increase from the £120 million reported in the same period the previous year. Shares in Alpha FMC, listed on the London Stock Exchange's junior Alternative Investment Market, were valued at 496 pence each Thursday morning, down from 476 pence at Wednesday's close.

Bridgepoint to Acquire Alpha FMC : Awaiting Responses

Alpha Financial and Bridgepoint Advisers did not immediately respond to requests for comment regarding the potential acquisition.
