Corporate takeover battles can play out like a chess match spanning months — moves, counter-moves, and unexpected withdrawals until only one player remains standing. That match has now reached its conclusion, as Capricorn Energy PLC's board announced Thursday it has agreed to a takeover bid worth approximately $400 million from Norwegian energy company DNO ASA, following an increase in DNO's cash offer.

Directors Give Their Blessing

The board of the British oil and gas exploration company confirmed they've agreed to the terms of DNO's revised all-cash offer, describing it as providing shareholders "with greater certainty of value" — corporate language for a deal that finally cleared every remaining hurdle.

Sweetening the Pot

DNO's original offer, made Sept. 1, consisted of $4.224 per share in cash plus a $0.99 special dividend, valuing the deal at approximately $396 million. The revised offer simplifies things considerably, guaranteeing shareholders the full $5.214 per share entirely in cash — eliminating the need for Capricorn to declare and pay out a separate dividend before the deal closes. That figure comfortably outpaced a rival bid of £271 million (roughly $366 million) from oil producer Genel Energy PLC.

A Unanimous Recommendation

"The Capricorn directors intend to recommend unanimously that Capricorn shareholders vote in favor of the scheme at the court meeting and the resolutions to be proposed at the general meeting, each to be convened as soon as practicable," the company said in a statement — a clear signal that the board views DNO's offer as the definitive winner of this extended contest.

Why DNO Wants In on Egypt

The Oslo Stock Exchange-listed energy giant framed the acquisition as a strategic entry point into a new geography. DNO said the deal will allow it to diversify into Egypt, stating on Sept. 1 that it "has ambitious plans to build a significant Egyptian business over time." The company added that this expansion would complement its "existing operations in Kurdistan and the North Sea" — essentially adding a third geographic pillar to its portfolio.

A Premium Investors Couldn't Ignore

The revised offer represents a striking 46% premium over Capricorn's closing share price of 266 pence on March 10, the day before the offer period officially began — a jump substantial enough to make the deal difficult for shareholders to turn down.

The Companies Behind the Deal

DNO operates and holds a 75% interest in the Tawke and Peshkabir oil fields located in the Kurdistan region of Iraq, giving it a well-established foothold in Middle Eastern energy production. Capricorn Energy, headquartered in Edinburgh, operates primarily in Egypt's Western Desert. The company has spent recent years streamlining its operations through asset sales, generating $600 million in shareholder returns by July alone.

How Genel Became the Frontrunner, Then Lost the Race

Genel Energy had emerged as Capricorn's sole bidder after two other suitors — Samos Energy Ltd., a private British company, and Saudi business Alamadiyaf al-Masiyyah — abandoned their separate pursuits of the U.K. company on Aug. 12. Genel, which trades on the LSE's main market, had proposed paying $4.74 in cash per Capricorn share on July 2, including a 99-cent special dividend that valued the company at roughly £271 million. Capricorn shareholders had actually approved the Genel offer during a general meeting and court meeting on Aug. 18, leaving it subject only to remaining regulatory approvals — right up until DNO's superior bid changed everything.

A Twist Involving the Bidder Itself

In a wrinkle that added even more intrigue to this saga, Capricorn's directors ultimately said they did not intend to ask the High Court to sanction the Genel offer once DNO's bid arrived. Adding another layer of complexity, Genel itself had been the target of a separate takeover attempt by DNO earlier in the process — an approach worth approximately £202 million that Genel rejected in August, arguing the offer undervalued the company. DNO subsequently dropped its pursuit of Genel on Sept. 4, after Genel refused to extend the negotiating deadline — freeing DNO to redirect its full attention toward acquiring Capricorn instead.

What Comes Next

DNO intends to complete its acquisition of Capricorn through a Scottish court-approved scheme of arrangement, which requires support from 75% of the company's shareholders. Investors will cast their votes at a court meeting and general meeting once the scheme document is formally published. The deal will also need approval from the High Court and the Egyptian government before it can close.
