Electra Therapeutics’ $325M IPO Bets Big on Precision Immune Therapy

Electra Therapeutics' $325M IPO

Traditional treatments for immune diseases often work like a wide-net fishing operation — catching everything indiscriminately, damaging good and bad alike. Electra Therapeutics is betting its public debut on a different approach entirely, one built around precision rather than blunt suppression. The biotechnology firm plans to make its Nasdaq debut this week through an estimated $325 million initial public offering, guided by legal teams from Cooley LLP and Latham & Watkins LLP.

The Numbers Behind the Offering

Electra intends to offer 21.7 million shares priced between $14 and $16 apiece, a range expected to raise $325 million at the midpoint, according to a Monday filing with the U.S. Securities and Exchange Commission. At that midpoint valuation, the South San Francisco-based company would command a fully diluted market value of $976.1 million, according to IPO research firm Renaissance Capital — a figure that places Electra firmly in the billion-dollar neighborhood even before its first day of trading.

A Scientific Approach Built on Selectivity

Founded in 2018, Electra has spent years developing antibodies aimed at immune diseases and cancer. Its lead drug candidate is designed to selectively deplete pathological myeloid cells and T cells — essentially targeting the specific cells driving disease while leaving healthy immune function largely untouched, according to the filing.

The Science in the Company's Own Words

Electra described its approach to regulators in striking detail: "Our novel approach targets signal regulatory proteins (SIRP), a family of cell surface receptors whose expression is restricted to specific immune cell populations, and increases upon activation to enable selective depletion of disease-driving cells while preserving normal immune function." The company went further, framing its ambitions in sweeping terms: "By replacing broad immunosuppression with selective elimination of principal cells that drive disease, we believe our approach can do for immune-mediated diseases what precision oncology has done for cancer, transforming the treatment paradigm for patients."

Where the Money Will Go

According to the filing, Electra plans to direct the proceeds from its offering toward advancing its drug candidates through further development, funding additional research and development activities, and covering general working capital needs — the standard playbook for a clinical-stage biotech looking to extend its runway.

Backed by Deep-Pocketed Health Investors

Electra isn't walking into the public markets alone. The company counts health-focused investment firms such as OrbiMed, Westlake BioPartners and Redmile Biopharma Investments among its backers, according to the filing — a roster of specialized investors whose involvement often signals a degree of scientific vetting beyond the ordinary.

The Path to Trading

Electra plans to list on the Nasdaq under the ticker symbol ETRA. The offering is expected to price on or about Thursday, with trading anticipated to begin Friday, according to a Nasdaq calendar — putting the company on track for a swift transition from private biotech to publicly traded company within the same week.

The Legal Team Guiding the Deal

Cooley advised Electra on the offering, with a team that included Charles Bair, Charles Kim, Sara Semnani and Dylan Kornbluth steering the legal side of the transaction.

If Electra's science delivers on its stated ambitions, the company's IPO may mark more than just a fundraising milestone — it could represent an early test of whether precision-targeted immune therapy is ready to follow the same transformative path that precision oncology carved out for cancer treatment years earlier.
