Federal Court Rejects LendingTree Arbitration Clause in Major Data Breach Lawsuit

Key Legal Findings That Could Affect Millions of Online Contracts

  • Companies cannot enforce arbitration agreements without adequately notifying users of their terms.
  • Tiny text, crowded webpages, and poorly placed hyperlinks can undermine legally binding agreements.
  • Financial and insurance companies relying on online arbitration clauses may need to reassess their websites.

WASHINGTON — A federal appeals court has dealt a significant setback to LendingTree and its insurance comparison subsidiary, QuoteWizard, ruling that consumers cannot be forced into private arbitration when a company's website fails to provide adequate notice of its contractual terms.

The decision, issued November 4 by the U.S. Court of Appeals for the Ninth Circuit, arose from multidistrict litigation involving the massive Snowflake cybersecurity breach.

But the court's reasoning reaches well beyond cybersecurity.

At issue was a familiar practice used by thousands of American businesses: placing legally binding arbitration provisions inside website terms that consumers may never actually read.

In Nader v. LendingTree, LLC, Case No. 25-7045, appellate judges affirmed a Montana federal court's refusal to compel four plaintiffs—Antoun Nader, Aaron Macom, Nathan Thomas, and Linda Pierce—to arbitrate their claims.

LendingTree and QuoteWizard argued that consumers had agreed to arbitration through their websites' registration and transaction processes.

The judges weren't convinced.

Their examination identified several problems: exceptionally small contractual text, crowded webpages, competing hyperlinks, and prominent buttons directing consumers away from the very provisions the companies sought to enforce.

On QuoteWizard's website, consumers encountered large promotional messages, including "Good News! We've Found Matches For You!" alongside a bright green button inviting them to obtain insurance quotes.

Meanwhile, the contractual language appeared in substantially smaller type.

LendingTree's website presented similar problems. Its terms-of-use hyperlink appeared well below the button encouraging consumers to view their loan rates.

The court concluded that neither website provided sufficiently conspicuous notice to establish mutual assent.

That distinction carries serious legal consequences.

Under established contract principles, businesses generally cannot enforce contractual provisions unless the parties actually agree to them. Electronic agreements are no exception.

The Ninth Circuit relied on existing precedents, including Berman v. Freedom Financial Network, which addressed whether website users received adequate notice before supposedly accepting contractual obligations.

The ruling also exposes a potential weakness in how online financial and insurance services obtain consumer consent.

Companies often depend on arbitration provisions to resolve disputes outside traditional court proceedings. Arbitration can limit litigation costs and public courtroom proceedings, although its practical benefits depend on the agreement and circumstances.

When those provisions prove unenforceable, businesses may face continued court litigation, including potential class-action exposure.

There is an important limitation, however.

The November 4 decision is an unpublished memorandum disposition, meaning it generally does not establish binding precedent under Ninth Circuit Rule 36-3.

Nor did the judges determine whether LendingTree or QuoteWizard were responsible for the underlying data breach.

They decided a narrower question: whether these particular website designs created enforceable arbitration agreements.

The answer was no.

For consumers, that means the lawsuit can proceed without being diverted into arbitration under the challenged provisions.

For businesses, the decision identifies a practical legal vulnerability.

An arbitration clause drafted by experienced corporate attorneys may offer little protection if its presentation fails to give consumers meaningful notice.

And for financial institutions, insurance marketplaces, and technology companies collecting sensitive personal information, the ruling delivers a reminder that increasingly sophisticated digital contracts still must satisfy basic legal requirements.

A consumer's click is not automatically proof of consent.
