Infineon $1.1B Memory Unit Sale

Sometimes growing stronger means letting go of something valuable — not because it's failing, but because it no longer fits the bigger picture. Infineon Technologies AG has agreed to sell its NOR Flash and F-RAM business to Taiwan-based semiconductor memory solutions provider Winbond Electronics Corp. for $1.12 billion in cash, a deal that reshapes both companies' futures in a single stroke.

A Deal With Multiple Legal Hands on Deck

At least three major law firms are steering this transaction. Morrison Foerster LLP is advising Infineon on the deal itself, while Freshfields LLP handles regulatory counsel for the German chipmaker. On the other side, Sullivan & Cromwell LLP represents Winbond throughout the negotiations.

Setting the Timeline

Infineon, which announced the agreement Wednesday, said both parties are targeting a closing sometime in the second half of 2027 — a timeline that gives regulators and integration teams plenty of runway before the transaction officially changes hands.

What's Actually Changing Ownership

The NOR Flash and F-RAM business at the center of this deal comprises a portfolio of memory chips designed to store software, system data and other critical information inside electronic devices. Its customer base spans the automotive, industrial and infrastructure markets — sectors where reliable memory storage isn't just a convenience but often a safety-critical necessity.

Infineon's Strategic Reasoning

Peter Schiefer, president of Infineon's automotive division, framed the sale as a deliberate sharpening of focus rather than a retreat. In a statement, he said the deal will allow Infineon "to further focus its portfolio and capital allocation on its core growth drivers," while simultaneously giving the NOR Flash and F-RAM business room to "unlock its full potential" under new ownership — essentially arguing that this business will thrive better outside Infineon's walls than within them.

What Infineon Keeps for Itself

Despite parting with this particular unit, Infineon emphasized it will continue offering a broader portfolio of specialty memory solutions across automotive, industrial, infrastructure, aerospace and defense applications — including specialized memory solutions built specifically for space missions, a niche corner of the memory market that clearly isn't part of this particular sale.

A New Identity Under Winbond

In a separate announcement, Winbond revealed plans to rename the acquired NOR Flash and F-RAM business as Spansion — reviving a name with its own history in the memory chip world. Winbond intends to operate the newly acquired business as a standalone entity, notably choosing to retain its headquarters in Silicon Valley rather than folding operations entirely into its existing Taiwan-based infrastructure.

The Legal Architects Behind the Transaction

The Morrison Foerster team advising Infineon is led by partner Joe Sulzbach, while the Freshfields regulatory team is headed by partner Aimen Mir. On Winbond's side, the Sullivan & Cromwell team is led by partners Ching-Yang Lin and Peter Jones.

In an industry where chipmakers are increasingly forced to choose between chasing every opportunity and doubling down on their strongest bets, Infineon's decision to sell reflects a calculated wager that specialization — not sprawl — is the surer path to long-term strength, even as Winbond bets the opposite: that this very business, under a revived name and fresh ownership, still has plenty of room left to grow.
