Mark Walter Class Action Suit Alleges Billions Hidden From Annuity Holders

Numbers on an insurance disclosure form are supposed to tell the truth — but sometimes what's reported and what's real drift dangerously far apart. That's the core allegation now driving a Mark Walter class action suit, in which a Florida annuity holder claims Delaware Life Insurance Co. and a web of companies tied to billionaire Mark Walter concealed billions of dollars in investments connected to the Los Angeles Dodgers owner's sprawling business empire, all while inflating the perceived value of their annuities.

The Numbers That Didn't Add Up

The class action, filed Wednesday in Miami federal court, alleges Delaware Life told regulators and the public that roughly 3% of its invested assets — about $1.4 billion — represented related-party investments. But after federal investigators issued grand jury subpoenas to the insurer, that figure exploded: affiliated investments actually accounted for approximately 42% of invested assets by the end of 2025, according to the suit — a discrepancy so large it reads less like an accounting error and more like an entirely different balance sheet.

The Man Behind the Lawsuit

The suit was brought by Ira Rosner, a Miami-Dade County resident who says he purchased a Delaware Life TruePath Income fixed index annuity in April with an initial premium of roughly $1 million. According to the complaint, Rosner exchanged an existing Jackson National annuity for the Delaware Life product after being promised guaranteed joint lifetime income of $181,677 annually for himself and his wife — a retirement plan built on assurances that, he now claims, rested on a foundation far shakier than advertised.

A Deal He Says He Never Would Have Made

Rosner insists he would never have completed the transaction had he known the true extent of Delaware Life's exposure to investments tied to Walter — who, notably, is now selling off assets to raise cash amid intensifying scrutiny over alleged self-dealing. The lawsuit names Delaware Life, Group 1001 Insurance Holdings LLC, Group 1001 Inc., TWG Global Holdings LLC, Guggenheim Partners LLC and Walter himself as defendants.

Legal Representation and Corporate Response

Rosner is represented by Stuart Davidson of Robbins, Geller, Rudman & Dowd in Boca Raton, Florida. Delaware Life did not respond to a request for comment.

Walter's Company Pushes Back

Walter's holding company, TWG Global, issued an Aug. 26 statement asserting it was cooperating with federal authorities while firmly denying any fraud in its business dealings. "Over the past several weeks, multipronged attacks against TWG have been advanced by unnamed sources with self-serving interests that have been reported in the media," the company said. "It is important to set the record straight. TWG stands firmly behind the integrity of its business and remains focused on continuing to deliver value to its stakeholders."

Tracing the Scale of the Exposure

According to the class, Delaware Life's corrected financial figures revealed approximately $9.53 billion in private-credit investments as of Dec. 31, 2024 — investments the suit describes as "predominantly contingent on the performance of affiliates." That figure climbed to roughly $16.37 billion by the end of 2025, and reached $16.82 billion as of June 30, according to Rosner. He also points to an additional $821 million tied up in funding-agreement and trust-note structures, where repayment allegedly depended primarily on affiliated entities.

A Web Designed to Look More Diversified Than It Was

The class claims only about $1 billion of the restated exposure involved direct investments in affiliates. The rest, they allege, involved a more subtle arrangement — investments whose nominal counterparties weren't technically affiliates, but whose actual ability to repay hinged on Walter-related companies. Rosner argues this structure made Delaware Life's overall portfolio appear far more diversified than reality, effectively masking the fact that billions in policyholder-backed assets ultimately traced back to businesses controlled by a single individual.

Federal Investigators Circle the Same Territory

This class action doesn't exist in isolation — it arrives amid active investigations by the U.S. Attorney's Office for the Southern District of New York and the U.S. Securities and Exchange Commission. Delaware Life, along with another Walter-controlled insurer, Clear Spring Life and Annuity Co., received federal grand jury subpoenas in February concerning whether certain private-credit investments introduced by an affiliate should have been classified differently as related-party transactions.

Selling Annuities While Sitting on Undisclosed Subpoenas

The companies disclosed those subpoenas in recent regulatory filings. But the class alleges Delaware Life kept selling annuities for more than four months after receiving the subpoenas — including to Rosner himself — all without disclosing the ongoing investigation to prospective buyers.

A Narrow Window That Closed Too Soon

According to the complaint, Rosner submitted his application on April 1, and Delaware Life issued the annuity on April 8, delivering it April 23. The contract included a 30-day window allowing for a full refund — a window that, Rosner says, expired in late May, well before the subpoenas were ever publicly disclosed, effectively closing his opportunity to walk away before the truth surfaced.

Marketing Promises Under Fire

Rosner alleges Delaware Life's sales materials repeatedly assured purchasers that annuity guarantees were backed by the company's financial strength and claims-paying ability. He argues those assurances were fundamentally misleading, given that the company never disclosed the true scope of its related-party exposure to prospective buyers like himself.

Cutting His Losses

According to the class, Rosner ultimately surrendered the annuity in August after learning of the federal investigation and the restated financial figures. In doing so, Delaware Life deducted a surrender charge and a market value adjustment totaling $116,575.53 — a steep financial penalty for exiting a product Rosner claims he was misled into purchasing in the first place.

A Billionaire in the Headlines for Other Reasons Too

Walter, who serves as chief executive of both Guggenheim and TWG, has recently made headlines for reasons well beyond this lawsuit. He sold the NBA's Los Angeles Lakers to former Disney CEO Bob Iger and Thrive Capital founder Joshua Kushner — younger brother of Jared Kushner — just 14 months after purchasing the team, netting $2.5 billion in the process. On Wednesday, Walter also sold his stake in English Premier League club Chelsea, adding yet another major asset sale to an already eventful stretch.

The Scope of the Proposed Class

The proposed class would include individuals and entities who purchased or exchanged into Delaware Life annuities between Jan. 1, 2024, and June 26 — a window potentially encompassing tens of thousands of purchasers nationwide, transforming what began as one man's individual complaint into a case with sweeping financial implications.

Rosner's suit accuses the defendants of fraud, negligent misrepresentation, breach of contract, unjust enrichment, civil conspiracy and other violations — a comprehensive legal broadside aimed at unraveling exactly how much policyholders' retirement security may have quietly depended on the financial health of one billionaire's business empire.
