Mitsubishi Electric to Acquire PCI Energy in $1.4B Bet on American Power Grids

Mitsubishi Electric To Acquire PCI Energy

Mitsubishi Electric Corp. just planted a much bigger flag in the American power industry. The Japanese electronics giant announced Thursday it has agreed to acquire U.S. energy-management software provider PCI Energy Solutions for $1.4 billion, a move designed to deepen its footprint across North America's sprawling electricity market.

The Terms of the Takeover

Under the agreement, Mitsubishi Electric will purchase all of PCI's equity directly from its individual U.S. shareholders. The target, Norman, Oklahoma-based PCI, builds software that utilities, power producers and other wholesale electricity-market participants rely on to forecast demand, schedule power generation, optimize their portfolios, manage risk and settle transactions — essentially the digital nervous system running behind the scenes of the nation's electric grid.

A Platform With Outsized Reach

The scale of PCI's influence is hard to overstate: its platform manages roughly 60% of power generation across the United States, according to Mitsubishi Electric — a figure that turns what might sound like a niche software acquisition into a deal with sweeping implications for how American electricity gets planned and delivered. Financially, the company has been climbing steadily too, posting revenue of $81.4 million in 2025, up from $67.8 million the year before.

Why Mitsubishi Electric Wants In

Mitsubishi Electric framed the acquisition as a direct boost to its "Smart Energy" business line, aiming to fuse PCI's energy-market optimization software together with its own power-system controls and equipment — pairing the brains of grid management with the physical hardware that keeps power flowing. The company also plans to merge PCI's existing customer base and sales channels with its own network, hoping the combination accelerates growth well beyond U.S. borders.

Pricing the Deal

The transaction values PCI at $1.4 billion on a 100% equity basis, though that figure remains subject to customary adjustments for cash, debt and working capital once the deal actually closes — standard fine print that could nudge the final number slightly in either direction.

Keeping the Team in Place

Rather than overhaul PCI's operations from the top down, Mitsubishi Electric said it intends to retain the company's "core management team" once the acquisition closes — a signal that the Japanese firm sees continuity, not disruption, as the smarter path forward.

A Statement of Intent

Soichi Hamamoto, an executive officer at Mitsubishi Electric, framed the deal as building on an already strong foundation rather than reinventing it. "Our objective is to build on PCI's strengths while creating additional capacity for long-term innovation and global growth, as we further strengthen our smart energy area in response to customer needs shifting," Hamamoto said in a statement.

What Comes Next

Mitsubishi Electric said the deal is expected to close by the end of 2026, pending regulatory approvals and other customary closing conditions — a timeline that gives both companies several months to finalize the integration before the ink officially dries.
