NextEra Energy agrees to acquire Dominion Energy for $67B

The electricity that will power America's artificial intelligence future just got a new landlord — and it is enormous. NextEra Energy and Dominion Energy announced Monday a $66.8 billion all-stock merger that will forge one of the largest electric utilities on the planet, a combined enterprise valued at roughly $420 billion with a market capitalization of approximately $249 billion, built explicitly to meet the insatiable and accelerating energy appetite of the data centers driving the AI boom.

The transaction, pending regulatory approval, will create the third-largest energy company in the United States — trailing only oil behemoths Exxon and Chevron — and a utility whose enterprise value exceeds the next two largest US power companies combined. It is one of the biggest energy mergers in American history, and it arrives at a moment when the nation's electrical grid is being asked to do something it was never designed to do: power a computational revolution.

Why Now — and Why This Deal

The merger is not occurring in a vacuum. It is the latest and largest tremor in a seismic wave of consolidation reshaping the US power sector as data center construction spreads across the country like a digital gold rush, transforming server warehouses into some of the most energy-intensive real estate on Earth.

The pattern has been building for months. Earlier this year, AES Corp was acquired by a consortium led by Global Infrastructure Partners and Swedish private equity firm EQT AB for $33.4 billion. That followed Constellation Energy's $16 billion acquisition of Calpine and Blackstone's $11.5 billion purchase of TXNM Energy — deals that collectively signal an industry in the midst of fundamental structural transformation.

The NextEra-Dominion combination dwarfs them all.

"The country needs more energy infrastructure built faster, more efficiently, and more affordably than ever before," NextEra CEO John Ketchum told investors on a Monday call. "Combining two great American companies can better achieve the speed and scale this moment demands."

130 Gigawatts of Demand — and the Geography of Power

The strategic logic of the merger is anchored in geography and scale. The combined company would deliver electricity across much of the US Southeast — a region experiencing some of the fastest population growth in the country and home to the world's single largest concentration of data centers in Northern Virginia.

That data center ecosystem is not merely large — it is the physical infrastructure underpinning the global AI industry, and its electricity demands are measured in numbers that strain comprehension. Data centers currently proposing to connect to NextEra and Dominion represent approximately 130 gigawatts of electricity demand. To put that in human terms: one gigawatt alone can power roughly 750,000 homes. The combined demand of those proposed connections equals the residential power needs of nearly 100 million American households.

Meeting that demand — efficiently, reliably, and at competitive cost — is the central premise of the merger.

The Grid Access That Changes Everything

Beyond sheer scale, the deal delivers NextEra something it has not previously possessed: direct access to the PJM Interconnection, the largest power grid operator in the United States, spanning 13 states from Illinois to New Jersey. Dominion's existing portfolio serves as the gateway to that grid — and with it, an entirely new geographic and commercial footprint for a company already recognized as one of the world's leading energy developers.

The PJM grid services a population of more than 65 million people and coordinates the movement of electricity across a region that includes some of the most economically productive territory in North America. For NextEra, gaining access to it through Dominion's existing relationships and infrastructure represents an expansion of strategic reach that organic growth alone could not replicate.

Regulatory Road Ahead

The all-stock transaction must navigate a regulatory approval process that, for a deal of this magnitude and complexity, will likely involve scrutiny from federal energy regulators, state utility commissions across multiple jurisdictions, and potentially antitrust authorities assessing the competitive implications of combining two of the country's most significant power providers.

Ketchum and Dominion executives expressed confidence in the deal's approvability, pointing to the merger's alignment with national infrastructure priorities — particularly the urgent need to accelerate power delivery to support the AI and data center economy that both federal and state governments have identified as a strategic priority.

The Bigger Picture: America's Energy Reckoning

What the NextEra-Dominion merger illuminates is something that energy analysts have been warning about for years: the United States is heading toward a structural electricity shortage unless it builds new power infrastructure at a pace and scale the current system was not designed to achieve.

The AI data center buildout is not a temporary spike in demand — it is a permanent and accelerating transformation of the economy's energy requirements. Every large language model trained, every query answered, every autonomous system running in real time draws power from a grid that was engineered for a pre-digital world.

Monday's $66.8 billion announcement is, in that context, less a corporate transaction than a statement of national energy strategy — a bet that the future of American power lies in consolidation, scale, and the kind of infrastructure investment that only companies of combined NextEra-Dominion magnitude can credibly make.

The lights of the AI revolution need to stay on. Two of America's largest utilities just decided to make sure they do — together.
