Oprah-Backed True Food Kitchen Files Chapter 11 After Expansion Missteps and 12 Abrupt Closures

What the Bankruptcy Filing Reveals

  • True Food Kitchen entered Chapter 11 carrying roughly $42.1 million in funded debt after years of management turnover and unsuccessful expansion decisions.
  • Twelve restaurants closed immediately, but 34 locations remain open while the company seeks a buyer through a court-supervised sale.

True Food Kitchen built its name selling something consumers increasingly say they want: healthier restaurant food without giving up the experience of eating out.

That was not enough to keep the company out of bankruptcy court.

FRC Balance LLC, which does business as True Food Kitchen, and eight affiliated companies filed for Chapter 11 protection in the U.S. Bankruptcy Court for the Southern District of Texas on Oct. 4. The lead case is No. 26-90806, assigned to U.S. Bankruptcy Judge Christopher M. Lopez. Court records place the company's funded debt at approximately $42.1 million.

At the same time, True Food shut 12 of its 46 restaurants. The remaining 34 restaurants across 14 states are continuing to operate, according to the company.

The important part of this bankruptcy is not the Oprah Winfrey connection. It is what happened behind the scenes as True Food attempted to grow.

Chief Restructuring Officer Nathan Cook told the bankruptcy court that the company experienced significant management turnover, resulting in repeated changes in expansion strategy, brand direction and menu offerings. True Food also invested money outside its core markets and experimented with products and restaurant concepts that ultimately failed.

Even attempts to adapt during and after the pandemic caused trouble. The company experimented with ghost kitchens and an off-site delivery operation, but according to restructuring disclosures, those ventures pulled workers away from restaurants and hurt the customer experience before they were abandoned.

That makes this more than another story about customers cutting back on restaurant spending.

The court record points to a business that expanded from roughly 20 restaurants to 46 while changing leaders, strategies and concepts along the way. Some locations remained profitable. Others suffered from weak traffic or changing local demographics. In other words, True Food's central idea may not have been the problem. Execution was.

True Food was founded in Phoenix in 2008 by restaurateur Sam Fox and physician and wellness author Dr. Andrew Weil. Its menu grew around salads, grain bowls, pizzas and other dishes emphasizing nutrient-dense and minimally processed ingredients.

Winfrey invested in the company in 2018 and joined its board during an aggressive growth period. She remains a minority investor but is no longer on the board and has no role in day-to-day management, according to the company.

True Food is now trying to preserve what remains rather than liquidate it.

The company has secured a commitment for approximately $20 million in debtor-in-possession financing from HumanCo TFK IV, subject to bankruptcy-court approval. On Oct. 6, the court granted interim authority allowing the company to access up to $5 million of that facility while the Chapter 11 case proceeds.

True Food also intends to pursue a court-supervised sale, meaning the next major question is who buys the company, what liabilities that buyer is willing to assume and whether additional restaurant leases survive the restructuring.

For customers, Chapter 11 does not presently mean True Food Kitchen is disappearing. For employees, landlords and unsecured creditors, however, the bankruptcy has only begun.
