Oregon Withdraws Court Motion in Paramount-Warner Bros. Merger Fight β€” But Vows the Battle Isn’t Over

Oregon's Paramount deal delay

Oregon blinked β€” but it did not back down. The Oregon attorney general's office announced Friday it has withdrawn its court motion seeking to delay Paramount's proposed $110 billion acquisition of Warner Bros. Discovery, a tactical retreat that the state framed not as surrender but as a strategic repositioning in a fight it intends to continue.

The withdrawal comes after Paramount made clear it had no intention of complying with Oregon's investigative demand for internal documents β€” a refusal that the Oregon Department of Justice described in terms that left little room for diplomatic interpretation.

"Paramount made it clear that they weren't going to comply with the investigative demand, and that they think they're above the law," the Oregon Department of Justice said in a statement to Reuters. "We're not going to let them waste Oregonians' resources on these games. We've withdrawn the motion to consider our next steps."

The Documents Oregon Wanted β€” and Paramount Wouldn't Give

The dispute centers on a set of internal records that Oregon Attorney General Dan Rayfield's office sought as part of its review of what would be one of the largest media mergers in Hollywood history β€” a deal that would combine two of the industry's four remaining major studios into a single corporate entity of staggering scale.

Earlier this week, Rayfield's office filed a motion in Multnomah County court asking a judge to compel Paramount to produce the documents and delay the transaction by 60 days to allow time for a proper state-level review. Paramount had agreed not to close the deal before July 22 while the state's investigation was active.

The records Oregon sought reach into the heart of Paramount's regulatory strategy. The state demanded documents related to "Project Warrior" β€” Paramount's internal code name for its campaign to secure regulatory clearance for the merger β€” as well as records detailing the company's efforts to lobby the Trump administration for political support of the deal. The name alone β€” Project Warrior β€” conjures the image of a corporate machine gearing up for battle with regulators, and Oregon wanted to see the battle plans.

Paramount declined to provide them.

Paramount Declares Victory β€” Carefully

With Oregon's motion now withdrawn, Paramount moved quickly to claim the high ground. "We are pleased that the Oregon Attorney General has withdrawn its motion to delay this transaction," a company spokesperson said in a statement to Reuters, characterizing the $110 billion merger as both "lawful" and "pro-competitive."

The statement is accurate in a narrow sense: the immediate legal obstacle in Oregon has been removed. But the broader landscape facing the deal is anything but clear, and Paramount's celebration may prove premature.

A Merger Under Fire From Hollywood to State Capitals

The Paramount-Warner Bros. combination has drawn opposition that extends well beyond one state attorney general's office. Actors, writers, directors, and other creative industry workers have voiced alarm that a merger of this magnitude β€” folding two of Hollywood's four major studios under a single corporate roof β€” will trigger a wave of job cuts, consolidation of creative decision-making, and a narrowing of the competitive landscape that has historically driven quality and diversity in American entertainment.

Those concerns are now finding legal expression at the state level. Reuters has reported that other US states are prepared to file suit as early as next week to block the acquisition on competition grounds β€” a potential multistate legal assault that would represent a far more formidable obstacle than Oregon's single-state motion.

The Trump Administration's Shadow Over the Deal

The records Oregon sought regarding Paramount's lobbying of the Trump administration for merger support add a politically charged layer to an already complex transaction. If Paramount was actively working to secure political backing from the White House for a deal already facing antitrust scrutiny, the nature and content of those communications could be highly relevant to any state or federal review of whether the merger serves the public interest β€” or primarily serves the interests of the companies seeking to complete it.

Oregon's withdrawal means those documents will not be compelled by a Multnomah County court β€” at least not yet. But the state's explicit statement that it is "considering next steps" signals that Rayfield's office is not abandoning the investigative thread. It is reloading.

What Comes Next

With the Oregon motion off the table and the July 22 standstill agreement now in uncertain territory, the immediate question is whether Paramount and Warner Bros. will attempt to accelerate the closing timeline β€” or whether the looming threat of multistate litigation will keep the deal in legal limbo regardless.

The merger that would reshape Hollywood's studio landscape is still very much a live controversy. Oregon may have withdrawn one legal instrument. But the states preparing to act next week, the creative industry workers watching their livelihoods potentially consolidate, and the regulators examining whether "Project Warrior" lived up to its name β€” all of them are still in the fight.

The motion is gone. The battle is not.
