People Inc. has confirmed exactly that, announcing it has withdrawn its June proposal to purchase all public shares of MGM Resorts International and take the company private, a move guided by legal advisers at Wachtell Lipton Rosen & Katz.

A Stake That Remains, Even Without the Deal

People, which currently holds roughly a 27% stake in MGM, revealed in a Wednesday statement that it's backing away from its previous offer for the company — though notably, the door hasn't been closed entirely, with People signaling it remains open to a possible transaction down the road.

Breaking Down the Original Offer

The withdrawn proposal had offered $48.30 per share in cash, aiming to acquire $6 billion in outstanding shares and debt for the hospitality, sports and entertainment giant. That offer valued MGM at more than $18 billion — a headline-grabbing figure that, for a moment, seemed poised to reshape one of the industry's most recognizable names.

Diller Explains the Retreat

People Chairman Barry Diller offered a candid explanation for why the deal fell apart before ever reaching completion. "There are lots of ingredients that go into a proposal of this kind on its way to completion," Diller said in Wednesday's statement. "We didn't feel the mix was coming together in the way we had hoped and have decided not to pursue taking the company private at this time" — language suggesting the deal simply never found its footing, rather than collapsing over any single dramatic dispute.

What the Deal Would Have Looked Like

Under the original proposal, People would have owned 50.1% of MGM, retaining firm control of the company while still allowing investors to participate as minority shareholders. Back in June, Diller had argued that shareholders stood to benefit from reduced market volatility, along with the option to cash out the value of their shares entirely.

A Play for Broader Diversification

Beyond the immediate financial terms, the transaction would have helped diversify People's existing collection of brands, which includes its namesake People magazine alongside Food & Wine and Better Homes & Gardens — adding a hospitality and entertainment giant to a portfolio otherwise built around media and publishing.

Where Things Stand Now

MGM did not respond to messages seeking comment Thursday, leaving the company's own perspective on the withdrawn offer unaddressed for now.
