Pine Gate Filed for Chapter 11 Amid $1B Debt

Pine Gate filed for Chapter 11

In a move that sent ripples through the renewable energy sector, Pine Gate Renewables has filed for Chapter 11 bankruptcy protection in a Texas federal court, weighed down by more than $1 billion in debt and plans to sell its business during the proceedings.

The filing, made late Thursday, revealed that the Asheville, North Carolina-based solar energy developer carries between $1 billion and $10 billion in both assets and liabilities, alongside several affiliated entities. The bankruptcy petition marks a dramatic turning point for one of the U.S.’s fastest-growing solar firms, once hailed as a rising star in clean energy innovation.

Lenders to Submit Stalking Horse Bids

According to Pine Gate’s filing, the company will use the Chapter 11 process to auction its solar projects and operating platform. Its existing lenders — Brookfield Asset Management, The Carlyle Group, and Fundamental Renewables — plan to submit stalking horse bids for assets currently securing their investments.

A separate secured lender has also agreed to bid for Pine Gate’s independent power producer (IPP) platform and development pipeline, effectively setting a floor price for the company’s assets.

“To ensure that our projects continue generating renewable energy, we made the strategic decision to commence this court-supervised sales process,” CEO Ben Catt said in a statement.

A Harsh Reality for the Solar Sector

Pine Gate’s collapse joins a growing list of solar companies that have recently been forced into bankruptcy, following cuts to federal clean energy credits under the Trump administration and a volatile economic environment. Similar Chapter 11 filings this year by Sunnova Energy International and Solar Mosaic underscore the mounting pressure facing renewable energy developers.

Despite its mission to expand sustainable power, Pine Gate has struggled with high interest rates, inflation, and regulatory uncertainty. The company’s Chief Financial Officer, Ray Shem, said Pine Gate tried to sell its energy projects out of court by reaching out to hundreds of potential buyers between 2024 and 2025 but failed to secure viable offers.

$412 Million in Financing to Stay Afloat

Pine Gate’s lenders have now stepped in with $412 million in new financing, comprising $208 million in bridge funding and $204 million in debtor-in-possession (DIP) financing, pending court approval.

At the time of the bankruptcy filing, Pine Gate reportedly had just $8.5 million in cash on hand, Shem said in a first-day declaration. The infusion of new funds will provide critical liquidity as the company navigates its restructuring and prepares for the asset sale.

Pine Gate’s capital structure is complex, including $2 billion in construction and permanent funded debt, $1.4 billion in corporate-level obligations, and $1 billion in preferred equity.

From 1,000 Employees to Court Supervision

Founded in 2016, Pine Gate once boasted more than 1,000 employees and an ambitious national footprint, developing utility-scale solar projects across multiple states. However, the company’s growth collided with the harsh economics of the post-pandemic energy market, leaving it unable to sustain its aggressive expansion.

The firm now aims to finalize asset sales by the end of 2025 and confirm its Chapter 11 plan in January, signaling a race against time to restructure and survive.

The bankruptcy case has been assigned to U.S. Bankruptcy Judge Christopher M. Lopez in Texas.

Counsel and Representation

Pine Gate is represented by Ray C. Schrock, Andrew M. Parlen, Jason B. Gott, Jonathan C. Gordon, and Alexander W. Welch of Latham & Watkins LLP, alongside Timothy A. (“Tad”) Davidson II, Philip M. Guffy, and Brandon Bell of Hunton Andrews Kurth LLP.

Company representatives did not immediately respond to requests for comment Friday.
