That moment, according to multiple sources familiar with the matter, is now just weeks away. SpaceX — Elon Musk's rocket, satellite, and artificial intelligence conglomerate — is moving to file its long-awaited IPO prospectus publicly as soon as Wednesday, with a Nasdaq market debut targeted for June 12 under the ticker symbol SPCX.

The timeline has accelerated faster than even insiders anticipated. Formal marketing is targeted to kick off around June 4, with the offering priced as early as June 11 — a compressed schedule that pulled forward what had originally been a late-June process, a delay that some sources noted had been loosely pegged to coincide with Musk's birthday. A faster-than-expected review of SpaceX's IPO paperwork by the US Securities and Exchange Commission helped clear the runway for the earlier launch.

The Numbers Behind the Most Anticipated IPO in a Generation

If the targets hold, SpaceX will seek to raise approximately $75 billion at a valuation of roughly $1.75 trillion — figures so large they require a moment to fully register. That valuation would make the SpaceX IPO the biggest stock market flotation in recorded history, eclipsing every offering that came before it by a margin that is not merely incremental but epochal.

The $1.75 trillion target also represents a dramatic step up from the $1.25 trillion combined valuation established when SpaceX merged with Musk's artificial intelligence startup xAI in February — a jump of half a trillion dollars in market expectations in less than four months, driven by insatiable investor appetite for AI and space infrastructure assets.

SpaceX has chosen Nasdaq as its listing venue, sources told Reuters, a decision that carries strategic weight beyond mere preference. Nasdaq recently rolled out highly anticipated "fast entry" rules designed to accelerate the inclusion of newly listed large-cap companies into its benchmark Nasdaq-100 index — and SpaceX had been actively seeking early entry into that index, according to reporting from March.

The Ticker With a Story

Even the ticker symbol carries intrigue. SPCX was not available until recently — it had been held by Tuttle Capital Management's SPAC-focused ETF before the firm switched to the ticker SPCK in April. That switch, at the time, triggered immediate speculation in financial circles that SpaceX had its eye on the newly vacated symbol. The speculation, it now appears, was well-founded.

Wall Street's Biggest Names Line Up for the Ride

The financial machinery assembled around the SpaceX offering reflects the magnitude of the event. Morgan Stanley, Bank of America, Citigroup, JPMorgan, and Goldman Sachs are serving as lead bookrunners — a quintet of Wall Street titans that reads like a roster assembled specifically for a once-in-a-generation deal. Sixteen additional banks have been enlisted in supporting roles spanning institutional, retail, and international distribution channels.

Together, they are preparing to manage an offering that will test the absorptive capacity of global capital markets in ways no previous IPO has been required to do.

The Mega-IPO Era Arrives

The SpaceX offering does not exist in isolation. It is the gravitational center of a broader shift in the public markets landscape — one that exchange operators, regulators, and investors have been preparing for with visible urgency.

The push toward faster index entry rules at Nasdaq and other leading index operators was engineered precisely for this moment: the imminent arrival of a cohort of richly valued private companies — SpaceX, Anthropic, OpenAI among them — whose market debuts threaten to reshape the composition of major indexes overnight. Exchange operators have been racing to streamline the pipeline, responding in part to mounting concern over the rapidly shrinking number of publicly listed companies in the United States.

SpaceX's arrival on public markets would inject an asset of extraordinary scale and symbolic weight into an equity landscape hungry for transformative listings.

The restraint of official silence surrounded the announcement. SpaceX did not immediately respond to requests for comment. Nasdaq declined to comment. The SEC was not immediately available for comment. Three sources, all requesting anonymity because the discussions remain private, provided the details that painted the picture.

What June 12 Could Mean

If SpaceX lists on June 12 as planned, it will mark the culmination of years of speculation, false starts, and deliberate private-market positioning that allowed Musk to build one of the most valuable companies on Earth without ever having to answer to public shareholders. From Falcon 9 rockets to Starlink satellites to the xAI merger, SpaceX assembled its empire on private capital and private terms.

On June 12, if the runway holds and the trajectory stays true, all of that changes. The most anticipated rocket launch on Wall Street is counting down — and this time, the payload is the company itself.
