SpaceX Shakes Up Wall Street: Massive $60 Billion Acquisition of Cursor Signals New AI Era

The tech world is reeling following a landmark announcement on Tuesday. SpaceX has officially entered a definitive agreement to acquire the AI coding startup Cursor in an all stock deal valued at $60 billion. This high stakes move arrives only days after the aerospace giant successfully debuted on the Nasdaq in what became the largest initial public offering in history.

Investors reacted with immediate enthusiasm. Shares of SpaceX climbed roughly 16 percent on Tuesday, a surge that propelled the company past Amazon and Microsoft in market capitalization. This shift cements SpaceX as the fourth most valuable corporation in the United States, marking a dramatic transformation for a firm that was primarily known for space exploration until its recent pivot into artificial intelligence.

Why SpaceX Wants Cursor

The acquisition is a strategic maneuver designed to bolster the company’s position against heavyweights like OpenAI and Anthropic. Earlier this year, Elon Musk initiated a merger between SpaceX and his AI entity, xAI. By integrating Cursor, a platform that has gained massive popularity for helping software developers generate, edit, and review code, SpaceX is signaling its intent to dominate the automated development space.

Cursor has seen explosive growth since its inception in 2022. By November of last year, the company reported crossing $1 billion in annualized revenue. The platform also earned recognition as number 37 on the annual CNBC Disruptor 50 list for 2026. Despite this success, the landscape remains competitive. Spending data from Ramp indicates that Cursor saw its market share shift from 41 percent in June 2025 to approximately 26 percent in May 2026, with Anthropic currently controlling half of the category.

Financial Details of the Deal

The $60 billion transaction will be executed entirely in class A common stock. This figure represents a 3.4 percent dilution of the valuation SpaceX held at the time of its initial public offering.

The path to this merger was laid out earlier in the year. In April, SpaceX disclosed that it held the rights to acquire Cursor for the $60 billion price tag. The companies also established rigorous protections in case the deal falls through. According to previous IPO filings, a failed merger would trigger a termination fee of $1.5 billion, alongside $8.5 billion in computing resources.

Venture capital firm Thrive Capital stands to benefit significantly from this consolidation. The firm holds equity in both SpaceX and Cursor, and their combined stake is now valued at over $10 billion, according to sources familiar with the confidential figures.

What Comes Next

While the market is optimistic, regulators will have the final say. The transaction is subject to the necessary regulatory approvals, and SpaceX expects the merger to close during the third quarter of this year.

SpaceX President and COO Gwynne Shotwell recently signaled her support for the union, telling CNBC that the partnership makes a huge amount of sense. In a post on the X platform, Cursor CEO Michael Truell expressed his enthusiasm for the move. He noted that he looks forward to partnering with the SpaceX team to scale up Composer, the company's AI model, calling it a meaningful step on their path to build the best place to code with AI.

SpaceX has remained relatively quiet regarding the specifics of Cursor’s current customer list and momentum. However, the market impact is already clear. As SpaceX integrates these new capabilities, the broader tech sector is bracing for a new phase of intense competition in the AI software development market.
