Verizon-Frontier merger seals $20B deal

Verizon-Frontier merger

The Verizon-Frontier merger is officially complete, closing Tuesday on a $20 billion acquisition that redraws California’s digital map with promises of cheaper internet, new fiber lines and tighter oversight — even as federal support for digital equity pulls back.

The deal, approved by the California Public Utilities Commission, snaps into place like a massive circuit switch, triggering binding requirements that tie Verizon’s expansion plans to affordability, infrastructure growth and diversity commitments across the state.

CPUC approval unlocks sweeping digital equity pledges

State regulators signed off on the merger with conditions aimed at narrowing California’s digital divide. Among them: expanded access to affordable internet plans, major fiber-optic buildouts and new wireless infrastructure targeting underserved and rural communities.

The timing is striking. The merger lands as the federal government withdraws $2.75 billion in funding by cutting the Digital Equity Act, leaving states to shoulder more responsibility for keeping broadband within reach.

CPUC Commissioner John Reynolds said the agreement goes beyond a routine corporate green light.

“California isn’t just approving a merger, we’re securing real commitments that will connect communities, lower costs for families who need it most, and strengthen workforce and supplier diversity protections,” Reynolds said in a statement.

Verizon hails expanded reach and growth

Verizon CEO Dan Schulman welcomed the approval, framing the deal as a growth engine for the telecom giant.

“Our greatly expanded footprint will enable us to provide more value to more households and businesses in more regions, driving our growth and benefitting our customers and our shareholders,” Schulman said.

With the merger closed, Verizon inherits both Frontier’s assets and a long checklist from state regulators.

Affordable broadband and fiber expansion mandated

Under the agreement, Verizon must broaden affordable voice and broadband offerings, including free broadband service for qualifying low-income families for at least a decade. For the next five years, the company is barred from raising rates on those affordable plans.

California officials also said Verizon is required to invest in 75,000 new fiber locations and construct 25 new wireless towers designed to extend service into rural areas long left on the wrong side of the digital divide.

In addition, the decision folds in multiple settlement agreements covering affordability, service quality, labor protections and infrastructure deployment, along with a commitment to spend $500 million with small businesses.

Failure to meet those obligations could bring fines and other penalties from the CPUC.

Competition concerns linger despite safeguards

Even with the guardrails, some advocates warn the merger could further concentrate power in an already tight market.

Lindsey Skolnik, manager at the California Alliance for Digital Equity, said declining competition often leads to higher prices and fewer choices.

“Recognizing that declining competition in the marketplace ultimately leads to increased concentration of power over broadband pricing and service offerings, this potential outcome is deeply worrisome, especially in the midst of California's affordability crisis,” Skolnik said.

Skolnik noted that broadband pricing in California is largely shaped by five major providers — Comcast, Charter, AT&T, Cox and Verizon-Frontier — which together serve about 97% of the state’s 10.7 million broadband subscribers.

That field could narrow further. Charter Communications announced in May 2025 that it offered to buy Cox Communications for roughly $34.5 billion, a move that would shrink the “Big 5” to a “Big 4.” No timeline has been set for when or if that deal will close.

As consolidation accelerates, California’s bet on the Verizon-Frontier merger rests on one question: whether binding promises can keep pace with an industry racing to grow bigger, faster and more powerful.
