A settlement announced in June was supposed to close the book on one of the more uncomfortable chapters in WWE's corporate history. Two months later, the parties still haven't signed it — and now they're asking a judge to explain why.

WWE shareholders have gone to a Delaware court seeking an order compelling Vince McMahon and other current and former WWE board directors to finalize a $147 million settlement resolving litigation over the company's 2023 merger with UFC parent Endeavor. According to letters filed Thursday with Vice Chancellor J. Travis Laster, the holdup isn't the dollar figure — it's who gets released from what, and by whom.

A Merger Under Fire

The settlement traces back to WWE's $21.4 billion merger with Ultimate Fighting Championship's parent company, a deal that created TKO Group Holdings Inc. and handed Endeavor 51% control of the combined company, with WWE stockholders holding the remaining 49%.

Shareholders sued, alleging McMahon and fellow directors breached their fiduciary duties by steering the company toward Endeavor for reasons that had little to do with getting stockholders the best possible deal. The complaint alleged the choice of buyer was shaped in part by McMahon's desire to preserve his own role and influence at the new company — at a moment when he was facing a Connecticut federal lawsuit accusing him, WWE and others of sexual assault and trafficking, as well as a Maryland state case brought by men who say they were sexually abused as children while working as WWE "ring boys" in the 1980s. The federal suit was moved to arbitration last month. All defendants in the Delaware fiduciary-duty case have denied wrongdoing.

Where the Deal Is Stuck

On paper, the size of the settlement was never in question — $147.5 million to resolve the case. What's dividing the defendants now is smaller, and stranger: a disagreement over how broadly the releases in the settlement language should extend when it comes to indemnification and contribution obligations tied to insurance coverage.

Ryan Stottmann, counsel for board members Nick Khan, Paul Levesque, George A. Barrios and Michelle D. Wilson, told the court his clients remain fully committed to finalizing the deal "as promptly as possible." But he was direct about where things stand: the settlement's current language ties the scope of releases between the defendants and McMahon directly to that insurance dispute, and until it's resolved, his clients can't sign.

McMahon's attorney, Brad Davey, pushed back on that framing in his own letter to the court Friday, arguing the disagreement shouldn't be holding up the signatures at all. According to Davey, McMahon is willing to sign the stipulation without requiring any release between the defendants themselves.

"Not Our Problem"

Caught between two sets of defendants who can't agree on release language is the side that actually wants this finished: the shareholders.

Kimberly Evans of Block & Leviton LLP, representing the plaintiffs, told the vice chancellor the internal dispute shouldn't be allowed to hold the settlement hostage, and asked the court to set a near-term deadline for filing. Her framing of the standoff was blunt: "this is not our problem."

Evans argued the allocation and indemnification issues among the defendants were never made a contingency of the deal shareholders agreed to accept on the eve of trial.

A Disclosure Problem, Too

Evans raised a second complaint that goes beyond the legal wrangling — one about what the public has actually been told.

She pointed to TKO Group's earlier disclosure that WWE expects to contribute $105 million toward the settlement, roughly $75 million of it funded through expected insurance recoveries. The problem, according to Evans, is that the disclosure never mentioned the full $147.5 million figure or the fact that McMahon and his insurers are expected to cover the remainder. As a result, she said, the incomplete numbers already circulating in the press are giving the public a skewed picture of the actual settlement.

What Happens Next

Stottmann has expressed confidence the insurance dispute can be resolved within the coming weeks, but with the shareholders now pushing the court to impose a deadline, that timeline may no longer be entirely up to the defendants.

For now, the $147.5 million meant to close out one of the messier corporate chapters in WWE's recent history sits unsigned — not because anyone disputes the amount, but because of a narrower fight over who is protected, and from what, once the ink finally dries.
