Shields CEO Michael Ham hailed the partnership, saying it validated the company’s health system–focused strategy.

For Evernorth, based in St. Louis, Missouri, the investment aligns with its existing suite of services — from direct-to-patient pharmacies and distribution to home and ambulatory infusion services.

Legal Counsel Behind the Billion-Dollar Move

The Holland & Knight team, led by partner Jeffrey Mittleman, served as regulatory counsel to Evernorth.

While full details of Wachtell’s counsel team were not immediately disclosed, a Shields representative confirmed no additional law firms advised on the deal. However, Davis Polk & Wardwell advised Sycamore Partners in its Walgreens acquisition.
