Building a financial services empire from scratch can feel like constructing a skyscraper one brick at a time — slow, expensive and vulnerable to every gust of market wind. Grab Holdings Ltd. is choosing a faster route instead. The Singapore-based superapp announced Tuesday it has agreed to acquire a controlling 60% equity stake in Atome Financial for $1.49 billion, while also locking in plans to buy the remaining 40% within the next two years.

Two Companies, One Regional Ambition

Grab operates a sprawling app platform spanning ride-hailing, food delivery and digital financial services across Southeast Asia. Atome, meanwhile, is a digital finance platform that sits within Singapore-based Advance Intelligence Group, a company backed by heavyweight investors including SoftBank and Warburg Pincus — meaning this deal brings together not just two businesses, but two networks of powerful financial backers.

Breaking Down the Initial Purchase

Under the agreement, Grab will acquire its controlling 60% stake in Atome entirely in cash for $1.49 billion, with $260 million of that total earmarked specifically as primary growth capital — fuel meant to expand the business rather than simply change its ownership on paper.

The Timeline for Full Integration

The transaction is expected to close by the third quarter of 2027, at which point Grab will fold Atome into its financial services segment through full financial consolidation. Notably, Atome's existing management team is expected to remain in place, suggesting Grab is buying into the company's leadership and expertise, not just its balance sheet.

A Second Purchase Already on the Calendar

Grab isn't stopping at a majority stake. The company has also agreed to acquire the remaining 40% of Atome roughly two years after the initial deal closes, structured under a performance-linked framework. That second purchase comes with guardrails built in — an equity valuation floor of $2 billion and a cap of $4.5 billion — creating a wide but bounded range for how much Atome's full ownership could ultimately cost.

Why Grab Wants In on Atome's Technology

Grab specifically pointed to Atome's "leading use of AI to underwrite digital lending to millions of users" across Southeast Asia as a key driver behind the deal. The company argued the acquisition would let it scale its financial services segment "significantly faster and more cost-efficiently than building it ourselves" — essentially buying years of technological head start rather than trying to replicate it independently.

Voices From Both Sides of the Deal

Jefferson Chen, CEO of Atome, framed the partnership through the lens of continuous improvement. "With artificial intelligence and data, every transaction makes our underwriting smarter and our products more personalized," he said in a statement. Chen added that joining forces with Grab's broader ecosystem would help "close the financial inclusion gap" across the region — positioning the deal as much a social mission as a financial one.

The Legal Teams Behind the Transaction

Allen Overy Shearman Sterling is advising Advance Intelligence Group throughout the transaction. Counsel information for Grab was not immediately available.

Taken together, the deal reads as a calculated bet that in the race to dominate Southeast Asia's digital finance landscape, buying proven AI-driven lending technology now will pay off far more than trying to build a comparable system from the ground up.
