Keller Williams $20M Settlement

Keller Williams Realty has agreed to pay $20 million to settle allegations that it took part in a long-running conspiracy to fix real estate broker commissions and inflate home prices — a deal now awaiting preliminary approval from an Illinois federal judge.

The proposed agreement, known as the Keller Williams $20M Settlement, could mark a pivotal moment in litigation that has stretched for years and weathered multiple legal setbacks.

A Deal Framed as a Turning Point

In a motion filed Monday, eight named plaintiffs told the court the proposed settlement is more than a financial payout. They described it as an “ice-breaker” agreement that not only compensates homebuyers who claim they were forced to pay artificially high commissions, but also secures Keller Williams’ cooperation.

That cooperation, they said, includes deposition testimony, potential trial testimony and the production of documents — evidence that could prove critical as the broader case continues.

“The proposed settlement exchanges these costs and a lengthy litigation timeline with financial recovery, certainty, and the preservation of court resources,” the plaintiffs wrote. They emphasized that continued litigation carries the risk of no recovery at all, making immediate compensation a “substantial benefit” for the settlement class.

Allegations of a Decades-Long Scheme

The Illinois lawsuit, first filed in 2021, accuses the National Association of Realtors (NAR) and major brokers and agents of orchestrating a conspiracy that suppressed competition in the housing market.

According to the complaint, rules requiring sellers who use NAR’s multiple listing service to make blanket compensation offers to buyers’ brokers effectively locked in commission rates. The result, plaintiffs argue, was inflated commissions that ultimately drove up home prices for buyers.

But the road to this proposed settlement has been anything but smooth.

Legal Hurdles and the “Indirect Purchaser” Barrier

Over five years, the homebuyers’ case has encountered repeated legal obstacles. Twice, federal antitrust claims were dismissed, with the court citing the U.S. Supreme Court’s Illinois Brick decision, which generally limits federal antitrust suits to direct purchasers of a price-fixed product.

In February 2024, an Illinois federal judge allowed certain state law claims in the plaintiffs’ amended complaint to proceed. However, the judge again rejected reworked federal antitrust claims, reiterating her earlier conclusion that the homebuyers were “indirect” purchasers under NAR’s commission structure.

In May, the court denied the buyers’ request to file a second amended complaint that would have added new state antitrust and consumer protection claims along with 24 additional plaintiffs.

Appeals Add Another Layer of Risk

Counsel for the Illinois homebuyers are also pressing forward in the Eighth Circuit, appealing final approval of home seller settlements that they argue improperly release homebuyer claims.

Yet that appeal adds uncertainty. According to Monday’s motion, without the Keller Williams agreement, the plaintiffs face the possibility of an adverse ruling on class certification and the potential release of a “significant portion” of their claims without compensation.

“While plaintiffs believe they will prevail, additional discovery, class certification, summary judgment, expert reports and challenges, and trial — each phase with its attendant risks — still lie ahead,” the motion states.

At the heart of the case is a complex economic question: did inflated commissions lead to inflated home prices? The plaintiffs acknowledge the case is largely a battle of expert testimony, where competing economic models could tip the scales.

Industry Response

A Keller Williams representative could not immediately be reached for comment Wednesday.

NAR General Counsel Jon Waclawski said Tuesday that Keller Williams’ decision to settle “does not change the fact that NAR will continue to pursue all legal options to achieve a result that best serves the interest of our members, the industry and consumers.”

The homebuyers are represented by attorneys Ryan Z. Cortazar, George A. Zelcs, Steven M. Berezney and Randall P. Ewing Jr. of Korein Tillery, along with Vincent Briganti, Margaret MacLean and Noelle Forde of Lowey Dannenberg PC.

Keller Williams is represented by Jennifer Lada, Timothy Ray, Anna Pendleton Hayes and David C. Kully of Holland & Knight LLP.

As the Keller Williams $20M Settlement awaits judicial review, the agreement stands as both a financial resolution and a strategic pivot in one of the most closely watched commission-fixing battles in U.S. real estate.
