Potential Pitfalls and Break Fees

If Just Eat accepts a competing bid, it must pay a €41 million termination fee. Conversely, if the acquisition fails due to regulatory roadblocks, Prosus will owe Just Eat a hefty €410 million break fee.

Russ Mould, investment director at AJ Bell, noted that Prosus is betting heavily on its AI expertise to revitalize Just Eat’s post-pandemic growth strategy. “The online food delivery boom during COVID gave way to harsh realities once lockdowns ended. Just Eat had to reassess its trajectory, cut costs, and streamline operations. Prosus is banking on its technological edge to reignite that momentum.”
