Stripe and Advent $53b PayPal takeover

A bold takeover proposal from Stripe and private equity giant Advent International has set the financial technology industry buzzing, with the duo offering to acquire PayPal Holdings Inc. in a transaction valued at more than $53 billion. If completed, the deal would unite two of the world's most influential online payment platforms, creating a payments powerhouse capable of processing an estimated $3.7 trillion in annual payment volume.

The proposal, which has already sent PayPal shares soaring, could mark one of the biggest shakeups the digital payments sector has witnessed in years.

Joint Bid Offers Premium to PayPal Shareholders

According to people familiar with the confidential discussions, Stripe and Advent submitted an offer earlier this month to purchase PayPal for $60.50 per share, representing roughly a 28% premium over the company's Tuesday closing price.

The offer is reportedly supported by approximately $50 billion in committed bank financing, underscoring the seriousness of the acquisition effort.

Neither PayPal, Stripe nor Advent commented on the proposal after Reuters first reported the bid Tuesday evening. The sources requested anonymity because negotiations remain private.

Despite the attractive premium, there is no assurance the discussions will ultimately lead to a completed transaction.

Discussions Continue After Initial April Approach

The latest proposal follows an initial outreach made in early April, according to the sources.

So far, PayPal has not formally responded, while Stripe and Advent are expected to continue pushing discussions forward over the coming weeks.

Rather than dismantling PayPal's business, the proposal envisions Stripe and Advent jointly owning the company, each taking an equal ownership stake while keeping the payments giant intact.

A Combination That Could Transform Digital Commerce

If approved, the merger would resemble two massive rivers joining into a single unstoppable current.

Stripe has become the preferred payment infrastructure for internet merchants worldwide, while PayPal commands one of the largest consumer ecosystems in financial technology, serving more than 430 million customer accounts.

Bringing those strengths together would create one of the largest online payments companies on the planet, combining merchant services with an enormous consumer payments network under one roof.

Consumer Reach Meets Merchant Dominance

The strategic attraction is clear.

Stripe's business has historically centered on helping businesses process online payments, whereas PayPal provides direct relationships with hundreds of millions of consumers through its payment services, digital wallets and banking products.

Analysts believe those consumer assets could significantly accelerate Stripe's ambitions to expand its own digital wallet ecosystem.

TD Cowen analyst Bryan Bergin said PayPal's consumer platform could materially speed Stripe's efforts while also providing direct access to a massive audience for future financial services.

The acquisition would also give Stripe ownership of Venmo's popular peer-to-peer payments platform alongside PayPal's widely recognized online checkout button.

Reduced Dependence on Visa and Mastercard

Industry observers also point to another strategic advantage.

A combined Stripe and PayPal network could process a greater share of transactions internally, reducing reliance on payment networks such as Visa and Mastercard.

By routing more payments through its own infrastructure, the combined company could potentially lower transaction costs while capturing more revenue from every payment processed.

Stablecoin Ambitions Could Receive Major Boost

The acquisition could further strengthen Stripe's growing cryptocurrency strategy.

Stripe has invested heavily in its crypto business through Bridge, and PayPal's enormous consumer base could provide an ideal distribution network for bringing stablecoin-based payments into mainstream use.

With millions of active users already conducting digital transactions, PayPal could become the launchpad for Stripe's broader blockchain payment ambitions.

PayPal's Long Road Back

Once considered the undisputed leader in online payments, PayPal has spent recent years battling slower growth and increasingly fierce competition.

Alternative payment methods have gained momentum as services such as Apple Pay and Google Pay steadily captured market share.

The company's market value tells the story.

PayPal reached a peak valuation of roughly $360 billion in 2021, fueled by pandemic-era growth, before falling as low as approximately $36 billion this year. Over the past twelve months alone, its shares have lost more than 40% of their value.

Like a former champion fighting to reclaim its title, PayPal has been attempting to rebuild its competitive edge.

CEO Enrique Lores Launches Turnaround Strategy

Since assuming leadership in March, CEO Enrique Lores has initiated a sweeping restructuring designed to simplify PayPal's operations and restore growth.

In April, the company reorganized into three primary business divisions focused on:

  • Checkout services
  • Consumer financial services and Venmo
  • Payments and cryptocurrency

The restructuring also included multiple leadership changes intended to sharpen execution across the organization.

In May, Lores announced plans to use artificial intelligence to streamline internal operations, eliminate overlapping workforce layers and improve efficiency. The company expects those initiatives to generate approximately $1.5 billion in savings over the next two to three years, with the savings earmarked for reinvestment into future growth initiatives.

Analysts Believe Higher Offers Could Follow

Not everyone believes the current proposal will be enough.

William Blair analyst Andrew Jeffrey suggested PayPal's new leadership may view the bid as merely an opening move rather than a final offer.

He said the current proposal could be considered a "low-ball offer" and believes Stripe and Advent may ultimately be willing to increase their bid to as much as $70 per share if negotiations continue.

Strong Financial Results Add Complexity

PayPal's improving financial performance may also strengthen its negotiating position.

During the first quarter, revenue climbed 7% to $8.35 billion, exceeding Wall Street expectations of $8.05 billion.

On a currency-neutral basis, total payment volume increased 8% year over year, reaching approximately $464 billion, signaling that the company's core business continues to generate significant transaction growth despite competitive pressures.

Payments Industry Consolidation Accelerates

The proposed acquisition arrives during an active period of consolidation across the global payments industry.

Companies are increasingly pursuing mergers and acquisitions to gain scale, improve technology capabilities and expand into faster-growing areas including cross-border payments and business-to-business financial services as traditional payment processing experiences slower growth.

In 2025, Global Payments agreed to purchase rival Worldpay from FIS and private equity firm GTCR in a $24.25 billion transaction, while Nuvei acquired Payoneer Global for $2.75 billion. Advent International is also among Nuvei's financial backers.

Meanwhile, Mastercard is reportedly exploring the sale of a majority stake in its U.K. payments subsidiary Vocalink back to British banks amid concerns over U.S. ownership of critical financial infrastructure.

Stripe Continues Rapid Rise

While PayPal works to regain momentum, Stripe has continued its remarkable ascent.

The privately held fintech company was valued at approximately $159 billion during a February tender offer for employees and shareholders, representing a valuation increase of more than 70% compared with a similar transaction one year earlier.

Founded in 2010 by brothers John Collison and Patrick Collison, Stripe has become one of the world's most valuable financial technology companies by enabling businesses to accept payments, automate financial operations and manage payouts globally.

What's Next?

For now, the future of the Stripe and Advent $53b PayPal takeover remains uncertain.

Whether PayPal embraces the proposal, seeks a richer offer or chooses to continue its independent turnaround, the bid has already reshaped conversations across the fintech landscape.

If the acquisition ultimately moves forward, it would not simply combine two payment companies—it could redraw the map of global digital commerce, creating a financial technology giant with the scale, consumer reach and merchant network to influence how billions of dollars move around the world every single day.
