Mal Suit Against Polsinelli

In an electrifying turn of events, the Third Circuit ruled that it won't breathe new life into the claims of an online pharmacy’s malpractice suit against the legal mammoth, Polsinelli PC. The pharmacy’s main contention? That Polsinelli’s move to delegate a significant chunk of its defense responsibilities of the pharmacy and its former CEO to fellow law stalwarts at WilmerHale was out of bounds.

However, diving deep into the intricacies of the legal game, the appellate panel came forth with a verdict that, while Polsinelli did lean heavily on WilmerHale for the representation of Philidor Rx Services LLC and its past CEO, Andrew Davenport, they didn't sidestep their contract. It’s as if a football team handed over their star player to another team during a critical match but still managed to adhere to the rules of the game.

"Imagine a restaurant promising to serve a meal but not specifying how many courses. The diner might feel short-changed with a single plate, but the restaurant didn’t necessarily break its promise," U.S. Circuit Judge Tamika R. Montgomery-Reeves analogously noted, emphasizing that Polsinelli did, in fact, offer legal services, even if it wasn't to the extent that Philidor had hoped.

Background of the Legal Tangle

Peeling back the layers, Philidor and Davenport had initially roped in Polsinelli for their defense against looming investigations from heavy hitters like the U.S. Securities and Exchange Commission, the U.S. Department of Justice, and Congress. The epicenter of this investigative storm was the association between Philidor and pharma giant Valeant Pharmaceuticals International Inc.

But the plot thickened. Polsinelli, initially on a $14 million flat fee agreement, made a strategic pivot. As the legal crosshairs shifted more to Davenport and Gary Tanner, a Valeant-turned-Philidor employee, Polsinelli opted to team up with Tanner’s lawyers from WilmerHale. This partnership, however, came with a twist. Unlike Polsinelli’s flat fee, WilmerHale billed by the hour, leading to allegations that Polsinelli deftly offloaded the legal duties to WilmerHale, inflating Philidor's legal expenses.

Ruling in Favor of Polsinelli

This intricate dance between flat fees and hourly rates led to convictions for Davenport and Tanner, prompting the duo and the pharmacy to take legal aim at Polsinelli in 2020. Yet, both breach of contract and unjust enrichment claims against the firm crumbled in the district court – a decision the Third Circuit stood firmly by.

Breaking down the argument, the Third Circuit echoed that the pharmacy's claims that Polsinelli had breached its duty of good faith, were like accusing a magician of trickery – while the act might seem deceitful, the essence of magic is illusion.

Judge Montgomery-Reeves penned, “Appellants do not plausibly allege, however, that Polsinelli breached its specific executory promise to 'provide legal counsel.'”

In a final note, while Philidor tried playing the unjust enrichment card as a Plan B, hoping to show the contract as unenforceable, the Third Circuit deemed the pharmacy’s case references as irrelevant.

Silence followed the thrilling resolution as counsels from both sides refrained from commenting on Wednesday’s verdict.

The Third Circuit panel included U.S. Circuit Judges Michael A. Chagares, Thomas M. Hardiman, and Tamika R. Montgomery-Reeves. Philidor and Davenport's legal shield comprised Ralph P. Ferrara, Kevin J. Kotch, and Aaron L. Peskin from the Ferrara Law Group, while Polsinelli PC had the trio of Robert M. Cary, James W. Kirkpatrick III, and Craig Singer from Williams & Connolly.
