P&G acquires supplements maker Thorne for $3.8B

P&G's Thorne purchase

Some acquisitions feel like a natural next chapter. Others feel like watching a company reinvent itself in real time. Procter & Gamble's move to acquire supplements maker Thorne for $3.8 billion in cash falls squarely into the second category — a bold signal that the maker of Tide detergent and Pampers diapers is chasing a very different kind of growth story.

P&G's Thorne purchase, announced Tuesday, comes from LVMH-backed private equity firm L Catterton and marks one of the consumer goods sector's most striking deals this year, as legacy household-name companies scramble to plant their flags in the booming health and wellness space.

Riding the Wave of a Self-Care Boom

A Market Too Big to Ignore

The takeover represents far more than a routine acquisition — it's P&G elbowing its way into a crowded arena where preventive health, longevity culture, and the explosive popularity of weight-loss drugs have combined to reshape consumer spending habits almost overnight. It's a bit like watching a cargo ship suddenly install rocket boosters: the vessel is the same, but the destination has changed entirely.

Multinational consumer goods giants are now jostling for position in the vitamins, minerals and supplements sector, each racing to claim a slice of a market growing far faster than their traditional product lines.

Wall Street's Reaction: Cautiously Optimistic

P&G shares ticked up about 1% in afternoon trading following the announcement — a modest bump, but a telling one, suggesting investors see the move as a step in the right direction rather than a risky gamble.

P&G Isn't Alone in the Supplement Scramble

Rivals Making Their Own Moves

P&G's push into wellness doesn't exist in isolation. Rival Unilever announced in April its own deal to acquire U.S.-based nutritional supplements brand Gruns, though terms of that transaction remain undisclosed. Meanwhile, Nestle is conducting a strategic review of its lower-growth, lower-margin supplement brands — essentially deciding which pieces of its portfolio still belong in a market that's evolving at breakneck speed.

A Portfolio Already in Motion

P&G isn't walking into this space empty-handed. Its existing supplements lineup includes New Chapter, Metamucil and Align Probiotic. But just last week, the company forecast slower annual sales growth overall — even as its beauty and wellness division posted strong results, buoyed by consumers willing to loosen their wallets for discretionary self-care products.

Why Thorne? Why Now?

A Faster-Growing Lane

Jay Woods, chief market strategist at Freedom Capital Markets, framed the deal as a strategic pivot toward a market with far more horsepower than P&G's traditional household staples. He noted that premium nutritional supplements could offer P&G a valuable bridge to younger consumers — a demographic notoriously difficult for legacy brands to capture through conventional products alone.

Straight From the CEO's Mouth

P&G CEO Shailesh Jejurikar broke the news himself, first revealing the deal in an interview with CNBC earlier Tuesday — a move that underscored just how significant the company considers this acquisition to be.

The Bidding War Behind the Scenes

A Prize Worth Fighting For

Thorne's journey to this moment reads like a game of corporate musical chairs. L Catterton took the company private in a $680 million deal back in 2023. But Thorne quickly became a hot commodity again: sources told Reuters in June that consumer health company Haleon had also placed a bid for the supplements maker.

Jejurikar declined to confirm whether P&G had emerged victorious from what sources describe as an intense bidding war — but the outcome speaks for itself.

A Payday for L Catterton

For L Catterton, the sale represents a substantial win, delivering a return of more than $3 billion on its original investment. L Catterton Partner Rajan Shah expressed confidence that P&G was uniquely positioned to build on the growth momentum the firm had already established at Thorne.

Thorne's Remarkable Growth Trajectory

Founded in 1984, Thorne went public in 2021 and was projecting annual sales of $290 million in 2023, just before L Catterton's buyout took the company private. Fast forward to today, and the numbers tell a very different story: CNBC reported in April that Thorne was on track to hit $650 million in sales this year — more than double its pre-buyout projections, and a clear signal of just how quickly the supplements market has accelerated.

The Bigger Picture for P&G

As household staples growth slows and self-care spending surges, P&G's Thorne purchase may prove to be more than just a savvy acquisition — it could be the opening move in a much longer game to redefine what a 187-year-old consumer goods company looks like in an era obsessed with wellness, prevention, and premium health products.
