Spectris PLC announced on Thursday its acquisition of SciAps Inc., a U.S.-based manufacturer of analysis instruments, for up to $260 million. The move aligns with the British high-tech instrument maker’s strategy to strengthen its foothold in North America.

In a statement, Spectris highlighted the acquisition of SciAps, renowned for its handheld and laser-based element analysis instruments, as “highly synergistic.” This acquisition will enhance the product offerings of its subsidiary, Malvern Panalytical.

Although counsel details for the transaction were not immediately available, Andrew Heath, CEO of Spectris, praised SciAps as “an excellent business and a great addition” to the company.

SciAps’ Expertise and Market Presence

Based in Boston, SciAps specializes in handheld instruments that utilize X-rays and lasers to detect compounds, minerals, and elements across various materials. These instruments are pivotal in industries such as mining, metal recycling, battery manufacturing, food, and agriculture. SciAps is projected to generate sales of approximately $70 million by the end of 2024.

Spectris, headquartered in central London, will initially pay $200 million for SciAps. An additional $60 million is contingent upon meeting specific financial targets, the details of which remain undisclosed. The acquisition will be financed using Spectris’ existing cash reserves, which totaled £398 million ($508 million) as of the end of May. The company anticipates disbursing the contingent $60 million in early 2025, subject to the achievement of the stipulated conditions.
