Analog to acquire Alif

Artificial intelligence has spent years living inside sprawling data centers, humming away behind server racks far removed from the physical world. That's about to change in a big way. Analog Devices announced Wednesday it has struck a deal to acquire Alif Semiconductor for $1.35 billion in cash — a move that reads less like a routine chip purchase and more like a company arming itself for AI's next frontier: the real, physical world. Wachtell Lipton Rosen & Katz and DLA Piper both lent their legal expertise to steer the transaction across the finish line.

Chips That Think for Themselves

Analog Devices, widely known as ADI, builds chips and electronic components that quietly power countless devices. The company said Alif's processors bring something distinctive to the table — the ability for manufacturers to build machines that can analyze sensor data and make decisions on the spot, without waiting for instructions from some distant server. Picture a robot that doesn't need to phone home to think; it just reacts, instantly, like a reflex.

Breaking Down the Deal

Under the terms of the agreement, ADI will hand over $1.35 billion upfront in cash to Alif shareholders. But that's not necessarily the ceiling — the deal leaves room for up to $200 million in additional payments, contingent on future conditions playing out favorably.

Both companies' boards have already given their blessing, and the transaction is expected to close by the end of 2026, assuming it clears regulatory approvals and other standard closing conditions.

Meet Alif: The Brains Behind Small, Smart Devices

Based in Pleasanton, California, Alif specializes in microcontrollers and processors engineered to run AI applications directly on the device itself — no cloud required. Its chips fold together processing power, security safeguards and connectivity features, all while sipping relatively little energy, according to both companies.

Building a More Complete System

ADI's plan is to fuse Alif's processing capabilities with its own strengths in sensing, signal processing, power management and connectivity. The result, the company says, will let customers build fuller, more capable systems spanning industrial equipment, data centers, defense, energy, robotics, health care and wearable technology — an ecosystem approach rather than a single-part solution.

A CEO's Vision of AI Untethered

"AI is moving out of the data center and into the physical world," said Analog Devices CEO Vincent Roche, framing the acquisition as a step toward systems that can process information and respond in real time — AI that doesn't just calculate, but acts.

Alif's chips aren't hypothetical future products, either. They're already shipping to customers and have found their way into products from both consumer and industrial companies — proof the technology has already left the lab and entered the marketplace.

A Shared Vision From Alif's Co-Founder

Reza Kazerounian, co-founder and president of Alif, described the pairing as a natural expansion of reach. "Combined with ADI's deep physical-domain expertise and broad analog system capabilities, we can expand our reach to deliver the solutions that can power the future of physical intelligence," he said.

What's Left Before the Deal Closes

The transaction still hinges on the expiration of the applicable waiting period under U.S. antitrust law — a regulatory checkpoint standing between announcement and completion.

On the legal side, the Wachtell team representing ADI is led by partner Jenna E. Levine. Deal team details for DLA Piper were not immediately available.
