Private equity powerhouse Clayton, Dubilier & Rice (CD&R) has struck an agreement to acquire Sealed Air Corp., the global packaging giant behind household names like Bubble Wrap and Cryovac, in a blockbuster deal valued at $10.3 billion. The transaction, guided by three major law firms, marks one of the year’s most closely watched corporate shake-ups.

A Trio of Law Firms Steers the Mega-Deal

In Monday’s announcement, Sealed Air revealed that Latham & Watkins LLP is advising the company, while Kirkland & Ellis LLP and Debevoise & Plimpton LLP are representing CD&R. Together, these firms are navigating a transaction that is already rippling through the packaging industry like a shockwave through Bubble Wrap itself.

Premium Price for Shareholders, Market Reacts

Under the agreement, Sealed Air shareholders will receive $42.15 per share in cash—a 41% premium over the company’s unaffected stock price as of Aug. 14. Despite the premium, Sealed Air’s stock slipped more than 3% Monday morning, reflecting market caution amid large-scale buyouts.

The Packaging Titan at a Glance

Sealed Air is a global leader in designing packaging that preserves food, protects goods, and automates major processing operations. Its products span industries—everything from medical supplies to industrial fluids—carried under brands including Bubble Wrap, Cryovac, Liquibox, Sealed Air and Autobag.

In 2024, the company posted $5.4 billion in sales and employed roughly 16,400 workers worldwide.

Deal Timeline, Go-Shop Drama, and What Comes Next

The transaction, unanimously approved by Sealed Air’s board, is expected to close by mid-2026, pending regulatory and shareholder approval. But before the ink dries, one suspenseful twist remains: a 30-day go-shop period allowing Sealed Air to actively solicit competing offers, with an extra 15 days granted for negotiations with any qualified bidders.

This mechanism has been pivotal in several recent megadeals. Pfizer, for instance, filed suit earlier this year when a rival bid threatened its now-completed $10 billion acquisition of Metsera. Similarly, Baker Hughes’ $13.6 billion all-cash offer for Chart Industries toppled a prior agreement between Chart and Flowserve.

Leaders Praise Synergy, Stability, and Strategic Vision

If the deal closes, Sealed Air will keep its headquarters in Charlotte, North Carolina.
CEO Dustin Semach said the acquisition will unlock “more rapid innovation, expanded capabilities and broader reach,” benefitting both customers and employees.

CD&R partner Rob Volpe echoed the sentiment, calling Sealed Air an “exceptional global business” with strong fundamentals and leadership.

Financing the $10.3B Acquisition

Equity financing is being supplied by investment funds linked to CD&R, while debt financing commitments poured in from a consortium led by J.P. Morgan Securities, BofA Securities, BNP Paribas, Goldman Sachs, UBS, and Wells Fargo. Additional commitments came from Citi, Mizuho and RBC Capital Markets.

On the advisory side, Debevoise’s team is led by partners Brett Novick and Jeffrey Ross, with Latham’s group headed by Peter Harwich and Leah Sauter. Details regarding the Kirkland team have yet to be released.
