How Manoj Bhargava Upset Sports Illustrated — And Built A Legal Empire of His Own Destruction

It began with a missed payment of $3.75 million. It ended with one of the most spectacular collapses in American sports media history — and a legal reckoning that continues to shadow Manoj Bhargava, the billionaire founder of 5-Hour Energy who bet big on becoming a publishing mogul and lost, spectacularly, on multiple fronts.

This is the full story of how Bhargava's Arena Group Holdings, Inc. dismantled Sports Illustrated, and triggered a $48.75 million federal lawsuit, that only underscores the depth of the damage — with a brand-new jury verdict now adding yet another courtroom defeat to the mounting ledger.

According to the complaint, on January 2, 2024, The Arena Group failed to make a quarterly licensing payment of approximately $3.75 million to Authentic Brands Group, the intellectual property firm that owns the Sports Illustrated brand. It was a seemingly simple financial misstep — but the consequences were devastating and, according to the lawsuit later filed in Manhattan federal court, entirely deliberate.

Authentic Brands revoked Arena Group's license to publish Sports Illustrated in January 2024 and subsequently struck a new deal with Minute Media, publisher of The Player's Tribune, FanSided, and other properties. But Authentic Brands wasn't done.

In April 2024, the company filed a 51-page lawsuit in the Southern District of New York that pulled no punches. Authentic Brands, represented by Kaplan Hecker & Fink, sought $48.75 million in damages and an injunction barring Bhargava from continuing to interfere with their ownership of and all other rights related to Sports Illustrated.

The language in that complaint is unlike almost anything seen in a standard breach-of-contract filing. Authentic Brands charged that Bhargava "behaved more like a gangster than a trusted business partner," (See Page 6 of the Complaint), that he explicitly threatened to "go nuclear," and that his company weaponized their obstinance by shutting down SI-affiliated websites, interfering with the orderly transfer of the site's data to the new publisher, and misusing SI's intellectual property — including applying its logo to sites affiliated with his own companies and publishing a press release for 5-Hour Energy that was labeled as an SI editorial product, which the suit said undermined "the value and reputation of the SI brand."

The suit also alleges that Bhargava deliberately skipped the January installment of the $15 million annual licensing fee so that the license would be terminated, enabling him to lay off the staff. That allegation — that the missed payment was not an accident but a strategy — formed the legal and moral core of Authentic's case.

The arena Group's failure to make the quarterly payment had also triggered a $45 million termination fee due immediately to Authentic under the terms of their agreement. Combined with the unpaid quarterly fee, the total exposure reached $48.75 million — the full amount sought in the lawsuit.

The human wreckage was staggering. According to the complaint, on January 18, 2024, ABG notified Arena Group of its intention to terminate the licensing agreement for Sports Illustrated immediately. The next day, the Sports Illustrated union reported that a significant number — possibly all — of the Guild-represented workers at SI were being laid off. A magazine that had covered American sports for nearly 70 years, that had published the iconic swimsuit issue and told the stories of Muhammad Ali, had its entire editorial staff marched out the door in a single weekend.

The chaos inside Arena Group leading up to this moment was well-documented and deeply revealing of Bhargava's management style. Weeks before the collapse, Bhargava led a bizarre 90-minute town hall with SI and Arena employees in which he told staff, "No one is important. I am not important… The amount of useless stuff you guys do is staggering."

That speech, delivered by a man who had just taken over as interim CEO, would prove to be either prophetic or self-fulfilling.

Bhargava had been tapped as Arena's interim CEO on December 11, 2023, but stepped down on January 5, 2024 — just weeks later — "to avoid any conflicts of interest," according to an SEC filing, because his company Bridge Media Networks was in negotiations to make a substantial investment in Arena. He pulled the ejection handle before the worst of the damage landed publicly — but the lawsuits came for him anyway.

Arena Group eventually filed its own counterclaim against Authentic Brands, seeking $200 million and accusing ABG and its new SI licensee Minute Media of stealing proprietary technology and trade secrets. In a press release announcing that counterclaim, Bhargava said,

"These guys stole our most valuable property, our digital platform code, and then left a clear trail for anyone to follow… not too bright. They are like the Wet Bandits from Home Alone!"

The Wet Bandits, it turned out, didn't pay. On April 29, 2025, The Arena Group announced it had reached a confidential settlement resolving all outstanding legal matters with Authentic Brands Group, Minute Media, and Bhargava personally. The financial terms were not material — meaning any payment involved was too small to affect Arena's stock price. The $200 million counterclaim — that grandiose declaration of corporate warfare — ended not with a bang but a whimper.

What was notable, however, was the balance sheet impact. As a result of the settlement, Arena was able to remove approximately $93.9 million in accrued liabilities from its books — a figure reflecting the projected cumulative financial damages Arena anticipated would stem from the lawsuit. That is not a win. That is a company grateful to have erased a debt that threatened its survival.

Arena also announced simultaneous board changes, including the resignations of four directors: Christopher Fowler, Laura Lee, Christopher Petzel, and Carlo Zola. The SI implosion had apparently cost Arena not just the magazine but its leadership structure.

And now, just this week, a Manhattan federal jury handed Bhargava's company yet another defeat — this time in the wrongful termination suit brought by former executive Andrew Q. Kraft, who the jury found was not properly terminated for cause and who earned unpaid bonuses that Arena Group failed to pay. Every counterclaim Arena Group raised in that trial — breach of fiduciary duty, fraud, faithless servant — was rejected by the jury in full.

The arc from 5-Hour Energy billionaire to publishing mogul to serial litigation defendant is now complete. Bhargava did not build a media empire. He dismantled one that already existed, shed its workforce, fought its owner in court, settled for terms too embarrassing to disclose, and then lost a jury trial to one of his own fired executives. The legal and financial reckoning that his Arena Group experiment has produced is, by any measure, a defining case study in how not to enter the media business.
