Dye & Durham Sells Anti-Money Laundering Unit Credas for $104M to SmartSearch

Dye & Durham Anti-Money Laundering company sale

In a decisive move to fortify its balance sheet and shift gears from aggressive expansion to financial discipline, Dye & Durham Ltd. announced Tuesday that it will sell its U.K.-based subsidiary Credas Technologies Ltd. to British anti-money laundering software provider SmartSearch for £77.8 million ($104.4 million).

The deal marks a pivotal moment for the Toronto-based legal technology company as it seeks to repay senior secured debt and sharpen its focus on core operations, following a turbulent year of shareholder unrest and strategic recalibration.

A Turn Toward Stability and Sustainability

Dye & Durham told investors that all net proceeds from the Credas sale will go toward debt repayment — a key part of the company’s ongoing deleveraging strategy. The sale also underscores its commitment to restoring financial strength after halting mergers and acquisitions earlier this year.

“This is an important strategic accomplishment for our new management team,” said George Tsivin, CEO of Dye & Durham. “The sale of Credas is directly aligned with our reset — reducing debt, strengthening the balance sheet, and reinforcing the foundation for sustainable shareholder value.”

The company added that it has entered into a commercial agreement with both Credas and SmartSearch to ensure service continuity during the customer transition period.

SmartSearch Expands Its Global Footprint

For SmartSearch, the acquisition represents a significant step in expanding its product portfolio and international reach.

“By joining forces with Credas, we combine our strengths to deliver unmatched innovation and service,” said Phil Cotter, CEO of SmartSearch. “Our clients will see immediate benefits as we continue to set the standard for digital compliance.”

Founded in 2004 and headquartered in Ilkley, England, SmartSearch offers anti-money laundering (AML) and fraud prevention services to more than 4,000 clients, including leading law firms such as Ellisons Solicitors and Bates Wells. The firm also operates offices in Amsterdam and Lehi, Utah, serving a global base of over 50,000 users.

Credas’ Role in the Digital Identity Ecosystem

Credas Technologies, which specializes in identity verification and AML solutions, has been a valuable yet non-core asset in Dye & Durham’s growing suite of legal and compliance software.

“While Credas is a valuable business, it is not core to Dye & Durham’s global product offering,” Tsivin said. “We are confident the Credas team will continue to be leaders in their field under their new ownership.”

Tim Barnett, CEO of Credas, praised the merger:

“With financial crime on the rise and fraud tactics evolving, digital identity verification is more critical than ever. Partnering with SmartSearch empowers us to help more businesses protect themselves.”

Strategic Shift After Proxy Battle

The sale follows a contentious proxy fight that pushed Dye & Durham to pivot from its prior acquisition-heavy growth model. Earlier this year, the firm declared it would focus on reducing leverage and selling non-core assets, marking a significant departure from its acquisition-fueled expansion across Canada, the U.K., Australia, and Ireland.

According to its third-quarter report, Dye & Durham generated CA$108.3 million in revenue, a 1% year-over-year increase, but still posted a CA$21.7 million net loss, slightly higher than the prior year.

Advisory Roles and Forward Outlook

Canaccord Genuity Corp. acted as Dye & Durham’s financial adviser, while Dentons provided legal counsel on the transaction.

With more than 60,000 users worldwide, Dye & Durham’s legal software suite — covering practice management, billing, due diligence, and data analytics — remains at the heart of its global operations.

The Dye & Durham Anti-Money Laundering company sale represents more than just a transaction — it’s a turning point for a company determined to rebuild investor confidence, streamline its portfolio, and reclaim its footing in the global legal tech arena.
