5th Circuit Vacates $125M Award Over Judge’s Undisclosed Friendship With the Winning Side’s Attorney

A decades-long friendship between a federal magistrate judge and a trial lawyer has unraveled a massive Louisiana port judgment, exposing how an incomplete disclosure can undermine years of litigation.

In a 2–1 decision September 8, the Fifth Circuit upheld orders vacating the referral of IFG Port Holdings’ lawsuit to then-U.S. Magistrate Judge Kathleen Kay. The dispute had produced an award of approximately $124.5 million against the Lake Charles Harbor & Terminal District, which operates the Port of Lake Charles. Fifth Circuit opinion.

Writing for the majority, Judge James E. Graves Jr. said the Port could not meaningfully consent without knowing the extent of Kay’s relationship with IFG’s lead trial attorney, William Monk.

The record described nearly four decades of family ties. Monk was a groomsman at Kay’s wedding in 1989. Kay officiated his daughter Lucie’s wedding in 2015. Their families shared dinners, celebrations and close relationships among their children.

Kay disclosed only that another daughter, Margaret, worked as her law clerk and would be screened from the case. The majority found that disclosure incomplete and potentially misleading because it suggested the clerkship represented the full extent of the connection. Opinion, pages 5–7.

The underlying lawsuit began with a practical commercial problem. IFG wanted to operate an export grain terminal, but the surrounding waterway needed dredging. Its 2011 lease did not specify who would obtain the necessary permit. By 2015, the terminal was complete and the dredging remained unfinished, restricting IFG’s operations.

Each side blamed the other for the permitting responsibility. IFG sued, and the parties agreed in 2017 to have Kay decide the case. A 20-day bench trial resulted in the enormous award, including trebled damages.

After the adverse ruling, the Port investigated the friendship and sought to withdraw the magistrate judge referral. Its initial request failed. In 2023, the Fifth Circuit ordered further factual inquiry. Following a three-day evidentiary hearing, the district court found that the Port’s consent had not been knowing and vacated the referral. IFG appealed. Tuesday’s ruling affirmed that decision. Opinion, pages 2–3 and 16.

The legal distinction matters. Under 28 U.S.C. § 636(c), parties may consent to a magistrate judge conducting a civil trial and entering judgment. That agreement relinquishes their right to adjudication by an Article III district judge.

The majority therefore required knowing, voluntary and intelligent consent. IFG argued that information available to the Port’s lawyers should have put them on notice. The court rejected that “constructive knowledge” standard: what counsel could have discovered did not establish what they actually knew.

Graves wrote that “a party must actually know the extent of a magistrate judge’s conflicts.” The opinion also distinguished consent from ordinary statutory recusal rules, which address when a judge must step aside. Opinion, pages 8–12.

Judge Andrew Oldham dissented sharply. He argued that the majority’s rule conflicted with governing law and rewarded a losing party’s search for a way around an adverse judgment. He also warned of broader consequences for magistrate and bankruptcy court orders. Dissent, page 14.

The decision leaves the orders vacating Kay’s referral intact. It does not resolve the underlying dredging dispute in the Port’s favor on the merits. Its immediate significance is procedural: consent to the judge’s authority could not stand on the incomplete information disclosed here.
